What a Financial Trading Authority Is

The Financial Trading Authority is a written authorization that enables a named individual or entity to execute securities or trading transactions on behalf of an account holder or principal. It typically specifies permitted instruments, trading limits, account access details, effective dates, and any reporting or oversight requirements. Firms use this form to document delegated trading rights, capture consent, and define liability and indemnity terms. Properly completed, dated, and signed documents create a clear audit record used by brokers, custodians, compliance teams, and regulators in routine operations or in dispute resolution.

Why a Financial Trading Authority Matters

A Financial Trading Authority streamlines authorization for third-party trading, documents scope of power, and reduces downstream compliance friction. It clarifies consent, limits exposure, and provides an auditable record for broker-dealers and compliance departments, improving operational transparency and risk management.

Why a Financial Trading Authority Matters

Who commonly completes a Financial Trading Authority

Brokerage firms, registered investment advisers, corporate treasury teams, and individual account holders use a Financial Trading Authority to record delegated trading permissions.

  • Broker-dealers: Verify authorized traders and maintain audit trails for regulatory compliance.
  • Investment advisers: Delegate execution while documenting limits, reporting, and supervisory controls.
  • Corporate treasuries: Centralize trading authority across accounts and reduce operational delays.

Accurate completion helps firms meet recordkeeping obligations and facilitates audits, trade surveillance, and dispute resolution.

Who may sign and in what capacity

Individual Account Holder

As principal, the account holder signs to grant authority. Provide full legal name exactly as on account records, include account numbers, and date the signature. If signing on behalf of an entity, include capacity (for example, CEO) and attach a corporate resolution when required by the broker or custodian.

Authorized Representative

An appointed trader, broker, or financial professional may sign where permitted. The document should specify limits, trading instruments, discretionary authority, and attach proof of appointment such as a power of attorney, corporate minutes, or advisory agreement to validate authority for compliance and audit.

Detailed elements for a robust Financial Trading Authority

Include clauses for authority scope, risk allocation, indemnification, reporting protocols, verification procedures, and termination mechanics to support compliance and operational clarity.

Indemnification

State whether the authorized trader or principal bears losses arising from trades within scope, and outline any indemnity obligations toward the broker or counterparty.

Reporting

Specify frequency and format of trade reports to the principal, including reconciliations and notification protocols for exceptions or compliance alerts.

Limitations

Detail per-trade and aggregate limits, prohibited instruments, and any approval thresholds that require prior written consent from the principal.

Revocation

Describe how the principal may revoke authority, required notice period, and whether revocation must be delivered to broker and custodian in writing.

Authentication

Note required identity verification steps for signers, acceptable ID types, and whether notarization or remote online notarization is permitted.

Recordkeeping

Define retention period, storage location, and access controls; indicate responsibility for preserving audit trails and responding to regulatory inquiries.

Core elements of a professional Financial Trading Authority

A professional form clearly states parties, scope, duration, signature blocks, verification steps, and required supporting documentation to satisfy brokers and regulators.

Parties

Identify principal and authorized trader(s) with full legal names, titles, addresses, and corporate capacity when applicable. Include registered business names for entities and state of incorporation for institutional principals.

Scope

Define permitted instruments, transaction types, and express limits such as dollar caps, single-trade limits, or authorized strategies. Explicitly list exclusions to prevent misinterpretation.

Authorization Period

State clear effective and termination dates, and include language for automatic renewal or revocation. For open-ended authority, note any notice period required for termination.

Compliance & Documentation

Specify supporting documents required (power of attorney, corporate resolution, identification). Include broker reporting instructions, audit requirements, and record retention expectations.

Practical tips for accurate completion

Adopt standard templates, verify identities, and attach requisite corporate or legal documentation before submission to minimize rejections.

Use precise, itemized scope language
Avoid blanket authorizations. List asset classes and permitted transactions. Include clear numerical limits and time windows. This reduces compliance escalations and helps surveillance teams apply correct trade monitoring rules when reviewing authorized activity.
Verify signer identity and legal capacity
Match signature names to account records and government ID. For entity principals, confirm authority via corporate resolution or minutes. Where required, execute notarization or obtain RON-compliant notarization to satisfy broker or custody requirements.
Maintain signed originals and audit trails
Store signed documents with timestamps, signer IPs, and audit records for at least three years. For financial records or broker-dealer accounts, follow longer retention schedules as required by IRS and SEC regulations.
Limit authority and review periodically
Schedule periodic reviews of trading permissions and revoke or narrow authority when risk profiles change. Document each review and require reauthorization after significant organizational or account changes to prevent stale or excessive permissions.

Trading Permissions: Instruments, limits, and approval type
Effective Dates: Start and end dates (MM/DD/YYYY)

Common preparation pitfalls

  • Incomplete account numbers or mismatched legal names cause processing delays and may trigger custodian rejection or compliance review.
  • Vague scope language like 'all securities' risks unintended authority; specify instruments, asset classes, or explicit exclusions to limit risk.
  • Unsigned or undated forms are often invalid; ensure every required signer signs and dates on the correct signature lines.
  • Failing to attach required supporting documents such as powers of attorney, corporate resolutions, or identity verification can void authority or delay acceptance.
