Limitations and indemnity: The trustee shall not be liable for loss resulting from reasonable investment decisions, delegation, or reliance upon advisors, except for gross negligence, willful misconduct, or breach of fiduciary duty. The grantor agrees to indemnify and hold the trustee harmless for liabilities arising from actions taken in good faith pursuant to this instrument to the maximum extent permitted by law.

Amendment, Resignation and Successor Trustee

Amendment and revocation: If the trust is revocable, the grantor reserves the right to amend or revoke the trust in whole or in part by an instrument delivered to the trustee, signed by the grantor. If the trust is irrevocable, it may only be modified as permitted by the trust instrument or governing law.

Resignation and removal: The trustee may resign upon 30 days' written notice to the grantor (if living) and to the beneficiaries, subject to appointment of a successor. The grantor may remove a trustee only as provided by the trust instrument or applicable law.

Tax and Administrative Instructions

The trustee shall obtain and maintain any tax identification number required for the trust, prepare and file annual tax returns, and provide accountings to beneficiaries as required by law or the trust instrument. The trustee is authorized to pay reasonable expenses of administration from trust assets.

The grantor directs that the assets listed on Attachment A be transferred to the trustee. Funding shall be effectuated in accordance with account transfer instructions provided to custodians and financial institutions. The trustee is authorized to open accounts in the name of the trust and to endorse and accept transfers of assets.

By signing below, the grantor represents that the information contained herein is true and correct to the best of the grantor's knowledge, that the grantor has full authority to transfer the assets identified, and that no assignment or restriction prevents funding of the trust as directed.
