1. Transfer: The Transferor hereby irrevocably assigns, transfers and delivers to the Transferee all right, title and interest in the assets described in Schedule A, free and clear of any liens or encumbrances except those expressly disclosed in the Remarks column of Schedule A. Transfer shall be effected by such instruments and deliveries as are customary for each asset type, including, but not limited to, executed assignment documents, transfer forms, certificates, and account transfer instructions.

The Transferee represents and warrants that it has the capacity, authority and any required consents to accept and administer the assets and duties being transferred, and that acceptance will not violate any material obligation or law applicable to the Transferee.

Taxes, Costs and Indemnification

All transfer taxes, documentary fees, recording costs and other expenses of issuance, delivery and recordation arising from the transfer shall be paid by:
