Provider will deliver financial tuition services to Client as described below. Payment Terms

Payment is due in accordance with the following schedule and terms. If payment is not received when due, Provider may suspend services until amounts overdue are paid in full.

Payment due within days of invoice. Late amounts shall accrue interest at % per month (or the maximum permitted by law), plus reasonable collection costs.




Refunds, Cancellation & Rescheduling

Cancellations by Client must be provided in writing. Refunds for prepaid services are subject to Provider's stated refund schedule below. Provider may reschedule sessions for causes beyond Provider's reasonable control; in such cases Provider will make reasonable efforts to accommodate Client without additional charge.

Confidentiality & Data Protection

Each party may receive confidential information from the other. Confidential information shall be used solely for the performance of this Contract and not disclosed to third parties except as required by law. Both parties shall implement reasonable safeguards to protect confidential and personal data.

Intellectual Property

Provider retains all intellectual property rights in course materials and methodologies developed prior to or independently of this Contract. Unless expressly agreed in writing, Provider grants Client a limited, non-exclusive, non-transferable license to use provided materials for Client's internal educational purposes only.

Representations, Warranties & Liability

Provider represents that it will perform services in a professional manner. EXCEPT FOR THE EXPRESS WARRANTIES STATED IN THIS CONTRACT, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, SPECIAL, OR INDIRECT DAMAGES. THE AGGREGATE LIABILITY OF PROVIDER FOR ANY CLAIM ARISING OUT OF THIS CONTRACT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO PROVIDER UNDER THIS CONTRACT.

Indemnification

Client shall indemnify and hold harmless Provider, its officers and employees, from and against any third-party claims arising from Client's misuse of materials, breach of this Contract, or violation of applicable law, except to the extent caused by Provider's gross negligence or willful misconduct.

Termination

Either party may terminate this Contract for material breach by the other party if the breaching party fails to cure within days after written notice. Upon termination, Client shall pay Provider for all services performed and non-cancellable obligations incurred through the effective termination date.

Governing Law & Dispute Resolution

This Contract shall be governed by the laws of the state specified below without regard to conflict of laws principles. The parties agree to attempt good-faith negotiation and, if unsuccessful, to submit disputes to binding arbitration administered by a neutral arbitration provider, with venue in the governing state.
