Reporting, Verification & Audit Rights

Client shall have the right, upon reasonable notice and during normal business hours, to audit records reasonably related to the calculation of payments and outcomes for the prior 12 months. Discrepancies discovered by audit shall be reconciled within 30 days of audit completion.

Termination and Defaults

Either party may terminate this Agreement for material breach if the breaching party fails to cure within Cure Period (days): days after written notice. Upon termination, final reconciliation of payments for any completed Measurement Period shall occur within 60 days.

Representations, Indemnity & Limitations

Each party represents that it has the authority to enter this Agreement. Provider shall indemnify Client for third-party claims directly arising from Provider's gross negligence or willful misconduct in performance of obligations under this Agreement. Except for liability arising from willful misconduct or gross negligence, neither party's aggregate liability shall exceed the greater of the total fees paid or payable under this Agreement in the prior 12 months.

Confidentiality

The parties shall maintain confidentiality of Proprietary Information exchanged in connection with this Agreement and shall use such information solely for the performance, administration and enforcement of this Agreement. Disclosure is permitted where required by law subject to advance notice where practicable.

Governing Law & Notices

Amendments
