FINANCIAL VENDOR AGREEMENT

This Financial Vendor Agreement (the "Agreement") is entered into as of by and between:

Recitals

WHEREAS, Client requires certain financial processing, reporting, and vendor services described herein; and WHEREAS, Vendor represents that it is duly qualified and experienced to provide such services and will comply with the terms set forth below.

Scope of Services

Vendor shall provide the services described in the attached Fee Schedule and Statement of Work. Core services may include: transaction processing, reconciliation, reporting, collection services, and such ancillary tasks as agreed in writing. Vendor shall perform services in accordance with industry standards and applicable law.

Fees, Invoicing and Payment

Client agrees to pay Vendor the fees set forth in the Fee Schedule. Vendor shall submit itemized invoices showing description of services, applicable taxes, and any reimbursable expenses. Unless otherwise specified, payment is due within days of invoice receipt.

Taxes

Unless otherwise agreed in writing, Vendor is responsible for all taxes arising from the performance of services, including employment taxes and sales taxes, and shall provide receipts or tax invoices where required by law.

Confidentiality & Data Security

Vendor shall maintain in strict confidence all non-public information received from Client and shall implement and maintain reasonable administrative, physical and technical safeguards to protect such information. Vendor shall notify Client promptly of any security incident affecting Client data.

Representations, Warranties and Compliance

Each party represents that it has full authority to enter this Agreement. Vendor warrants that services will be performed in a workmanlike manner and in compliance with all applicable laws and regulations. Vendor shall maintain all licenses and permits necessary for performance.

Indemnification

Vendor shall defend, indemnify and hold harmless Client and its officers, directors and employees from and against any third-party claims, liabilities, losses, damages and expenses arising out of Vendor's breach of this Agreement, negligence, willful misconduct, or violation of applicable law.

Limitation of Liability

Except for indemnification obligations, breach of confidentiality, or willful misconduct, neither party shall be liable to the other for indirect, incidental, consequential, punitive or special damages. Aggregate liability for direct damages shall not exceed the fees paid to Vendor under this Agreement in the prior twelve-month period.

Insurance

Vendor shall maintain commercial general liability and professional liability insurance in amounts sufficient for performance and shall provide certificates of insurance upon request.

Records, Audit and Reporting

Vendor shall retain records related to services for a period of not less than three years and shall permit Client or its authorized representatives to audit such records upon reasonable notice during normal business hours.

Term and Termination

This Agreement shall commence on the Effective Date and continue for an initial term of months, and shall automatically renew for successive periods unless either party provides written notice of non-renewal at least days prior to termination. Either party may terminate for material breach with thirty (30) days' written notice if the breach is not cured.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or to such other addresses as either party may designate in writing.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes prior agreements. No amendment shall be effective unless in writing and signed by both parties. This Agreement shall be governed by the laws of the state specified below, without regard to conflict of law principles.
