Recitals and Purpose

This Financial Volume Rebate Agreement (the Agreement) sets forth the terms and conditions under which Supplier will pay a rebate to Recipient based on the volume of qualifying purchases of goods and services described herein during the Rebate Period. The parties agree that any payment of rebate is subject to the terms, audit rights, and adjustment provisions set forth below.

Definitions

"Qualified Purchases" means purchases of Supplier products and services that are invoiced to Recipient and conform to the product and channel specifications set forth in this Agreement and in any appendices. Excluded from Qualified Purchases are returns, credits, taxes, freight, promotional giveaways, and sales made to third parties other than Recipient.

Rebate Schedule and Calculation

Rebate will be calculated by reference to the following tiered schedule for Qualified Purchases during the Rebate Period. Supplier shall pay Recipient the applicable percentage of Qualified Purchase Volume in arrears, subject to adjustments for returns and credits.

Payment Terms

Supplier will pay Net Amount Due within days from Supplier's receipt of Recipient's rebate statement and any required supporting documentation. All payments shall be made in United States Dollars unless otherwise agreed in writing.

Payment Method:

Late Payment: Any undisputed amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus reasonable collection costs, including attorneys' fees, as incurred.

Reporting, Records and Audit

Recipient shall provide a written rebate statement and supporting documentation reasonably sufficient to support the calculation of Qualified Purchases. Supplier retains the right, at Supplier's expense and upon reasonable notice, to audit Recipient's books and records that directly pertain to Qualified Purchases for the Rebate Period and for a period of years following the end of such period.

Confidentiality and Use of Data

Each party agrees to keep all non-public information, including rebate calculations, sales volumes and pricing, confidential and to use such information solely to perform obligations under this Agreement. Disclosure is permitted only as required by law or with prior written consent of the disclosing party.

Taxes, Withholding and Adjustments

Unless otherwise expressly stated, all amounts are exclusive of taxes. Each party is responsible for taxes imposed on its income. Supplier may withhold taxes from rebate payments if required by applicable law and shall provide Recipient with documentation of such withholding.

Representations, Indemnity and Limitation of Liability

Each party represents that it has the authority to enter into this Agreement and that information supplied to the other party will be complete and accurate in all material respects. Each party shall indemnify, defend and hold harmless the other from claims arising out of its breach of this Agreement or its negligence. Except for willful misconduct or gross negligence, neither party shall be liable for consequential or punitive damages.

Term, Termination and Survival

This Agreement shall commence on the Effective Date and continue through the Rebate Period unless earlier terminated by mutual written agreement or for material breach following thirty (30) days' written notice and failure to cure. Provisions relating to payment, audit, confidentiality and indemnity shall survive termination for the period specified herein.
