1. Scope of Waiver. Provider hereby waives the Fees listed in the Itemized section above to the extent and in the amounts expressly set forth in that section. This Waiver applies only to the Fees itemized and does not alter, waive, or release any other amounts due from Client unless explicitly stated herein.

2. Condition Precedent. This Waiver is effective only upon Provider's execution below. If Client fails to comply with any express condition set forth in this Waiver (including timely payment of remaining amounts), Provider reserves the right to rescind this Waiver in its sole discretion by written notice to Client, and any previously waived Fees shall become immediately due and payable.

3. No Admission. The execution of this Waiver is not an admission of liability by Provider and shall not be construed as such for any purpose.

4. Consideration. Client acknowledges that Provider's waiver of Fees constitutes good and valuable consideration for Client's promises herein and that Provider would not have executed this Waiver absent such consideration.

5. Release. Upon Provider's execution of this Waiver and, if applicable, Client's satisfaction of the conditions set forth in this Waiver, Provider releases Client from payment obligations for the waived Fees only. Client, in consideration of the waiver, releases Provider from any claims related solely to the Fees waived under this Waiver arising prior to the Effective Date, except to the extent expressly preserved in writing in this instrument.

6. Future Charges. Unless explicitly stated otherwise in this Waiver, the waiver does not prevent Provider from assessing or collecting future fees, charges, or penalties that arise after the Effective Date in accordance with Provider's standard terms.

7. Representations and Authority. Each party represents and warrants that it has full authority to enter into this Waiver and that the signatory executing this Waiver on its behalf is duly authorized.

8. Governing Law; Venue. This Waiver shall be governed by and construed in accordance with the laws of the jurisdiction agreed by the parties. Any dispute arising out of or related to this Waiver shall be subject to the exclusive jurisdiction of the courts of the agreed jurisdiction.

9. Amendment; Entire Agreement. This Waiver constitutes the entire agreement between the parties with respect to the subject matter hereof and may be amended only by a writing signed by both parties.

10. Severability. If any provision of this Waiver is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
