Holder represents that it has the requisite power and authority to execute and deliver this Certificate and that the execution and delivery will not violate any agreement to which Holder is party.

Tax Withholding; Expenses; Remedies

The Issuer may withhold from any consideration payable on exercise any amounts required to be withheld by applicable law. Reasonable expenses incurred in connection with enforcement of the terms of this Certificate, including attorneys' fees, shall be borne by the defaulting party to the extent adjudicated by a court of competent jurisdiction.

Governing Law and Notices

This Certificate shall be governed by and construed in accordance with the laws of without regard to conflicts of law principles. Notices to the Issuer or Holder shall be in writing to the respective addresses set forth above.
