Each party represents and warrants that it has full power and authority to enter into this Proposal and to perform its obligations. The proposer agrees to perform the Services in compliance with applicable laws and regulatory requirements governing workers' compensation and financial transactions.

Indemnity & Limitation of Liability

The proposer will indemnify and hold harmless the client from liabilities arising from the proposer's gross negligence or willful misconduct in performing the Services. Except for liability arising from gross negligence or willful misconduct, each party's aggregate liability for direct damages under this engagement shall be limited to the total fees paid by the client to the proposer during the preceding 12-month period.

Insurance Requirements

The proposer will maintain commercially reasonable insurance coverage, including professional liability/errors & omissions, commercial general liability, and cyber liability insurance with limits of not less than the amounts set forth below.
