FINANCIAL WORKING CAPITAL FACILITY AGREEMENT

Default, Fees and Remedies

Late payment fee: upon any failure by Borrower to pay any amount on the due date, Borrower shall pay a late fee equal to and interest on the overdue amount at a rate equal to the greater of the Interest Rate plus per annum.

Events of Default include without limitation: (a) failure to pay principal or interest when due; (b) breach of any representation, warranty or covenant material to the Facility; (c) insolvency, assignment for the benefit of creditors, or commencement of bankruptcy proceedings by or against Borrower; (d) cross-default under other material obligations. Upon Event of Default, Lender may accelerate all outstanding obligations, exercise remedies and apply any collateral to satisfy Borrower’s obligations.

Borrower represents and warrants that all information provided to Lender in connection with this Agreement is true, correct and complete in all material respects and that Borrower is duly organized, validly existing and in good standing under the laws of its jurisdiction of formation. Borrower covenants to use Facility proceeds solely for working capital and permitted corporate purposes and to deliver financial statements and other information required by Lender upon request.

Notices

All notices, requests and other communications under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate in writing in accordance with this section. Notices are effective upon personal delivery, confirmed electronic delivery, or three business days after deposit with certified mail.

Miscellaneous

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be resolved in the courts of that state or another forum agreed by the parties.
