FINANCIAL WEALTH AGREEMENT

This Financial Wealth Agreement is entered into as of (Effective Date), by and between:

Recitals and Appointment

WHEREAS, Client desires to engage Advisor to provide discretionary or non-discretionary wealth management and investment advisory services as set forth in this Agreement; and WHEREAS, Advisor represents that Advisor is qualified to provide such services and will act in accordance with the terms of this Agreement and applicable fiduciary duties.

Appointment: Client hereby appoints Advisor to provide wealth management services for the assets described in Account Schedule A and Advisor accepts such appointment subject to the terms and conditions herein.

Scope of Services

Advisor will provide investment advisory services including, but not limited to, investment selection, portfolio construction, rebalancing, performance monitoring, tax-aware strategies, and periodic reporting to Client. Advisor's authority: discretionary    non-discretionary.

Fees, Billing and Payment

Management Fee: Client shall pay Advisor a management fee equal to % per annum of assets under management, billed in arrears.

Late Payment: Fees not received within 30 days of invoice are subject to a late fee of and interest at the lesser of 1.5% per month or the maximum permitted by law.

Representations and Warranties

Client represents and warrants that Client has full power and authority to enter into this Agreement and to grant the rights and powers granted herein; that the information provided to Advisor is true, accurate, and complete; and that no consent, approval or authorization of any third party is required to effectuate this Agreement except as disclosed to Advisor in writing.

Confidentiality

Each party shall keep confidential all information obtained from the other party and shall not disclose such information except as required by law or as necessary to perform the services contemplated by this Agreement. Confidential information does not include information that is publicly available through no fault of the receiving party.

Term, Termination and Effect of Termination

Term: This Agreement shall commence on the Effective Date and continue for a period of year(s) and shall automatically renew annually unless terminated by either party upon 30 days' prior written notice.

Termination for Cause: Either party may terminate this Agreement for material breach if the breach remains uncured 30 days after written notice. Upon termination, Client shall remain liable for unpaid fees and expenses incurred prior to termination and for costs of winding down positions if such actions are reasonably required.

Limitation of Liability; Indemnification

Except for gross negligence, willful misconduct, or breach of fiduciary duty under applicable law, Advisor shall not be liable for any loss incurred in connection with the performance of services hereunder. Client shall indemnify and hold Advisor harmless from claims arising from Client's breach of this Agreement, false representations, or giving of incomplete instructions.

Conflicts of Interest and Disclosure

Advisor shall disclose to Client any material conflicts of interest that could affect Advisor's services. Advisor will endeavor to manage or eliminate such conflicts and will obtain Client consent when required by law or regulation.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. Disputes shall be resolved by arbitration unless otherwise required by law.

Notices under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section or to such other address as either party may designate by written notice to the other.
