FINANCIAL WEALTH BRIDGES AGREEMENT

This Financial Wealth Bridges Agreement (Agreement) is entered into by and between Client Name: and Advisor/Firm Name: . Effective Date: .

RECITALS

WHEREAS, Client seeks services and, where applicable, short-term bridge financing to effectuate transfers, restructuring, or interim liquidity among accounts and entities in furtherance of long-term wealth management objectives; and WHEREAS, Advisor is engaged in the business of providing wealth bridging, advisory and financing solutions and has the requisite experience and authority to provide such services under the terms set forth below.

DEFINITIONS

For purposes of this Agreement, capitalized terms have the following meanings unless otherwise defined herein:

"Bridge Financing" means a temporary liquidity facility provided by Advisor to Client pursuant to Section Wealth Bridge Financing below. "Covered Assets" means assets designated by Client and accepted by Advisor as subject to bridging actions.

SCOPE OF SERVICES

Advisor shall perform the services described above and shall exercise reasonable care, skill, and diligence consistent with industry standards. Advisor will coordinate transfers, liquidity advances, custodial communication, and execution of agreed strategies as necessary to implement client objectives.

WEALTH BRIDGE FINANCING (IF APPLICABLE)

Bridge financing will be provided only if elected by Client and accepted by Advisor. Select if financing is requested:

Client shall pay Advisor fees in accordance with the selections and amounts set forth below. Fees are earned upon invoicing and remain payable despite termination, except as expressly provided herein.

Client represents and warrants that it has full power and authority to enter into this Agreement, that Covered Assets are free and clear of undisclosed liens except as disclosed in writing, and that Client will provide all documentation required for compliance, transfer, and financing actions.

CONFIDENTIALITY

Each party agrees to maintain the confidentiality of nonpublic information obtained in connection with this Agreement, except as required by applicable law or to effectuate the transactions contemplated herein. The receiving party shall use at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care.

LIMITATION OF LIABILITY

Except for liability arising from fraud, willful misconduct or gross negligence, Advisor's aggregate liability for any claim under this Agreement shall be limited to the total fees paid by Client to Advisor under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

DEFAULT AND REMEDIES

COMPLIANCE WITH LAW & TAXES

Each party will comply with applicable laws, including anti-money laundering and tax reporting obligations. Client is responsible for all taxes arising from transactions and shall provide documentation necessary for tax compliance.

RECORDS, REPORTING, AND NOTICES

TERMINATION

This Agreement continues until terminated by either party upon prior written notice. Termination shall not relieve Client of obligations to pay fees or repay outstanding Bridge Financing subject to the terms herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to choice-of-law rules.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof. Amendments must be in writing and signed by both parties. If any provision is held unenforceable, the remaining provisions remain in full force.
