Terms and Conditions

Renewal Authorization: By signing below, Client authorizes Advisor to continue to provide the selected services under the terms of this Renewal Form and any underlying advisory agreement. This Renewal Form supplements and does not replace the existing advisory agreement unless expressly stated in writing.

Scope, Authority and Discretion: Where investment management is selected and agreed, Advisor is authorized to exercise discretionary investment authority in accordance with the Client's stated investment objectives and restrictions. Advisor will act as a fiduciary when providing advisory services and shall use reasonable care, skill and prudent judgment.

Client Representations: Client represents that the information provided in this form is accurate and complete and will promptly notify Advisor of any material change. Client further represents that assets delivered to Advisor are owned free and clear of liens except as disclosed in writing.

Confidentiality and Data Use: Advisor will maintain the confidentiality of Client information consistent with Advisor's privacy policies and applicable law. Client consents to the use of electronic communications and acknowledges that certain communications may be delivered electronically.

Conflicts of Interest: Advisor will disclose material conflicts of interest that could affect recommendations. Client acknowledges review of any disclosed conflicts and consents to the Advisor's management of such conflicts as provided in writing.

Termination: Either party may terminate services in accordance with the termination provisions of the underlying advisory agreement. Termination shall not relieve Client of obligations to pay accrued fees or liabilities incurred prior to termination.

Limitation of Liability: Except as otherwise required by law, Advisor's liability for claims arising out of the performance of services is limited to direct damages proven and shall exclude consequential, punitive or incidental damages.

Governing Law and Dispute Resolution: This Renewal Form shall be governed by the laws specified in the underlying advisory agreement. Any disputes shall be resolved as agreed in that agreement, including arbitration if provided.
