Quotation Validity: This Quotation is an offer to provide the services and goods described herein and shall remain valid only until the Valid Until date above. Acceptance after that date requires written confirmation from the issuer.

Taxes and Duties: Prices exclude applicable sales, value added, use and other taxes and duties. Client is responsible for all taxes, except taxes based on the issuer's net income.

Term, Renewal and Termination: Subscription items specified will commence on the Service Start Date and renew automatically unless terminated in writing with at least 30 days' notice prior to renewal. Early termination by Client may result in payment of outstanding fees pro rata and any non-cancellable charges.

Limitation of Liability: Except for liability resulting from gross negligence or willful misconduct, each party's aggregate liability for claims arising out of or relating to this Quotation shall not exceed the total fees paid under the accepted order for the twelve months preceding the claim.
