Payment is due in full by the Due Date shown above. Past due amounts shall accrue interest at a rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is less, from the date due until paid. Issuer reserves the right to suspend services or to place a hold on accounts for nonpayment.

Disputes regarding charges must be submitted in writing within 30 days of the Invoice Date. Failure to timely notify Issuer of a dispute constitutes acceptance of the invoiced amounts. Acceptance of this invoice constitutes authorization for the Issuer to apply payments received to outstanding invoices in any order at Issuer's discretion.

Payor shall indemnify and hold Issuer harmless from any and all claims, losses, liabilities, damages, and expenses (including reasonable attorney fees) arising from Payor's breach of this invoice, negligence, or misuse of services. In no event shall Issuer be liable for incidental, consequential, or punitive damages, except where prohibited by law.

These terms constitute the entire agreement between the parties with respect to this invoice and supersede prior written or oral statements. Governing law for disputes arising under this invoice shall be the law of the state specified by the Issuer unless otherwise agreed in a signed written agreement.
