Client represents that Client will review this MFR within thirty (30) days of delivery and shall notify Provider of any material discrepancies. Client's failure to timely notify Provider shall be deemed acceptance of the MFR as provided.

Legal Terms

Confidentiality: All non-public financial information contained in this MFR is Confidential Information of the Client. Provider shall not disclose Confidential Information except as required by law or as permitted in writing by Client. Provider shall use commercially reasonable measures to protect Confidential Information.

Limitation of Liability: Except for willful misconduct or gross negligence, Provider's aggregate liability for claims arising out of or related to this MFR shall be limited to the fees actually paid to Provider for the specific report giving rise to the claim.

Indemnity: Each party shall indemnify, defend and hold harmless the other party from losses arising from its breach of this MFR or from its negligent or willfully wrongful acts in connection with preparation or use of the MFR.

Governing Law and Dispute Resolution: This MFR shall be governed by the laws chosen in the controlling White Label Agreement between the parties. Disputes shall be resolved in accordance with the dispute resolution provisions of that Agreement; absent such provisions, disputes shall be resolved by binding arbitration in the mutually agreed location.
