Payment Terms: Unless otherwise agreed in writing, Client shall pay amounts when due. If financing is used, Client acknowledges that a separate financing agreement will govern the finance terms. Failure to pay any amount when due constitutes default and permits Issuer to suspend performance, accelerate remaining amounts, and pursue all available remedies including recovery of costs and attorneys' fees.

Warranty & Limitations: Issuer warrants workmanship for the period specified in a separate warranty statement where applicable. Issuer limits liability to direct damages up to the total price paid under this quote. Issuer is not liable for consequential or incidental damages. All goods are subject to manufacturer's warranties where applicable.

Governing Law & Security Interest: This quote and any resulting agreement shall be governed by the law of the jurisdiction where the project is located. Issuer may retain a security interest in installed goods until paid in full and may file notices of such security interest where permitted.
