The Client hereby authorizes the Financial Institution to debit the Client's account referenced above and to effect the wire transfer in accordance with the instructions provided. The Client represents and warrants that it has full authority to make this authorization and that all information supplied is true, correct, and complete.

The Financial Institution will use commercially reasonable efforts to execute wire transfer instructions received prior to the institution's published cut-off time on the Value Date. Wire transfer instructions received after the cut-off time or on a non-business day may be processed on the next business day. The Client acknowledges that once executed, wires are final and irrevocable except to the extent reversal is permitted by applicable law or by the receiving bank.

Security, Authentication and Communications

The Client agrees to comply with the Financial Institution's security procedures for wire transfers, including but not limited to multi-factor authentication, secure tokens, call-back verification, or signed instruction formats. The Client accepts the risk of unauthorized access if security credentials are disclosed or compromised. The Financial Institution may rely upon instructions it reasonably believes to have originated from an authorized person and will not be liable for losses arising from forged, unauthorized or fraudulent instructions where the Financial Institution complied with the applicable security procedures.

Fees, Charges and Payment

Fees and charges applicable to processing wires will be assessed in accordance with the Financial Institution's fee schedule. The Client agrees that any fees, correspondent bank charges, intermediary bank fees or beneficiary bank charges may be deducted from the wire amount unless otherwise agreed. The Client shall reimburse the Financial Institution for any fees incurred as a result of incorrect or returned wire instructions.

Representations, Warranties and Compliance

The Client represents and warrants that the funds to be wired are not derived from illegal activity and that neither the Client nor the beneficiary is subject to sanctions, embargoes, or adverse regulatory restrictions that would prohibit the transaction. The Client will comply with applicable anti-money laundering and economic sanctions obligations and will provide additional information upon reasonable request.

Liability; Indemnity

Except in the case of the Financial Institution's gross negligence or willful misconduct, the Financial Institution shall not be liable for consequential, incidental, special, or punitive damages arising from delay, misrouting, interception, or other issues related to wire transfers. The Client agrees to indemnify and hold harmless the Financial Institution, its affiliates and correspondents from any claims, losses, liabilities, fines or expenses arising from breach of this Agreement, the Client's representations herein, or the Client's failure to provide accurate instructions.

Confidentiality; Records; Notices

The parties shall keep confidential all non-public information obtained in connection with this Agreement, except as required by law, regulation, or supervisory authority. The Financial Institution may retain records of all wire instructions and related communications and may provide confirmations in electronic or paper form. Notices under this Agreement must be delivered to the contact information provided by each party.

Term; Termination; Governing Law

This Agreement shall remain in effect until terminated by either party upon thirty (30) days' written notice, provided that termination shall not affect the rights and obligations of the parties with respect to transactions initiated prior to termination. This Agreement shall be governed by and construed in accordance with the substantive laws of the governing jurisdiction selected by the Financial Institution or as otherwise agreed in writing between the parties.

Miscellaneous

This Agreement, together with any schedules or attachments, constitutes the entire agreement between the parties with respect to wire transfers and supersedes all prior agreements and understandings. No amendment or waiver shall be binding unless in writing and signed by both parties.

The Client certifies that it has read and understands this Agreement and authorizes the Financial Institution to act in accordance with the instructions set forth herein. The Client further acknowledges that it has received adequate disclosure of fees, cut-off times, and security procedures.
