FINANCIAL WORK ASSIGNMENT

This Financial Work Assignment is entered into between the parties set forth below on the Effective Date. The parties intend by this instrument to set forth the terms under which assigned work, compensation, deliverables and related rights are assigned, produced and delivered.

Recitals

Whereas Assignor desires to engage Assignee to perform certain financial services and deliver related work product; and whereas Assignee represents that it possesses the skill, personnel and experience necessary to perform such services; the parties agree as follows.

Reimbursable Expenses

Assignee may incur out-of-pocket expenses on behalf of Assignor only where pre-approved in writing. Such expenses will be reimbursed upon submission of receipts and a written expense report.

Confidentiality and Data Security

Assignee shall treat all non-public information received from Assignor as Confidential Information. Assignee will implement and maintain administrative, physical and technical safeguards appropriate to the sensitivity of such information. Confidential Information shall not be disclosed except as required by law, regulation, or as necessary to perform the services, and then only after providing prompt notice to Assignor when permitted.

Work Product, Ownership and Assignment

All deliverables and work product produced specifically for Assignor under this Agreement (collectively, the Work Product) shall be the exclusive property of Assignor upon full payment of amounts due. Assignee hereby assigns, transfers and conveys to Assignor all right, title and interest in such Work Product, including all intellectual property rights, subject to any pre-existing third-party rights disclosed in writing prior to execution.

Representations, Warranties and Compliance

Each party represents that it has full power and authority to enter this Agreement. Assignee warrants that services will be performed in a professional manner consistent with applicable industry standards and applicable laws and regulations. Assignor acknowledges that Assignee does not warrant specific financial outcomes unless expressly stated in writing.

Indemnification and Limitation of Liability

Each party shall indemnify and hold the other harmless from third-party claims arising from the indemnifying party’s gross negligence or willful misconduct. Except for liability arising from willful misconduct or breach of confidentiality, the parties agree that total liability under this Agreement shall not exceed the aggregate fees paid to Assignee under this Agreement during the twelve (12) months preceding the claim.

Term; Termination

This Agreement commences on the Effective Date and continues until completion of the Scope of Work unless earlier terminated. Either party may terminate for convenience upon thirty (30) days’ prior written notice. Upon termination, Assignor shall pay Assignee for work performed and approved expenses through the effective date of termination.

Assignment; Subcontracting

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Assignee may engage subcontractors provided Assignee remains responsible for the subcontractor’s performance and compliance with this Agreement.

Notices

All notices under this Agreement shall be in writing and delivered to the contact information below by hand, certified mail, or commercial courier, or by electronic means with confirmation of receipt.

Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes prior discussions. Any amendment must be in writing signed by both parties.
