Scope of Financial Work

Service Provider shall perform the financial services, analysis, and deliverables set forth below in accordance with the terms and conditions of this LOX. Services shall be performed by qualified personnel and in a professional and workmanlike manner consistent with industry standards.

Late payment shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Client is responsible for any collection costs, including reasonable attorneys' fees, incurred to enforce payment obligations.

Confidentiality and Data Handling

Each party shall treat as confidential all non-public information disclosed by the other party in connection with this LOX. Confidential information shall not be disclosed except to employees, contractors, or advisers who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein. Confidential obligations survive termination for a period of three years, or longer where required by law for sensitive financial or personal data.

Intellectual Property and Work Product

Unless otherwise agreed in writing, Service Provider grants Client a non-exclusive, perpetual license to use final deliverables for Client's internal business purposes. Service Provider retains ownership of underlying methodologies, templates, and tools. Any third-party materials used will be identified and licensed appropriately.

Representations, Warranty and Liability

Each party represents that it has full corporate power and authority to enter into this LOX. Service Provider warrants that services will be performed in a professional manner. EXCEPT FOR THE FOREGOING WARRANTY, SERVICES ARE PROVIDED AS-IS. IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATED TO THIS LOX EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS LOX DURING THE SIX MONTHS PRECEDING THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES.

Termination

Either party may terminate this LOX for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Upon termination, Client shall pay Service Provider for all services performed and reimbursable expenses incurred through the effective date of termination.

Governing Law and Dispute Resolution

This LOX shall be governed by the laws of the jurisdiction specified below without regard to conflict of law provisions. The parties shall endeavor to resolve disputes through good faith negotiation prior to commencing litigation. If litigation is necessary, it shall be brought in the courts of the chosen jurisdiction.

Notices

All notices required or permitted under this LOX shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notice is effective upon receipt.

Each signatory below certifies that they are authorized to execute this LOX on behalf of the party for which they sign and that the information provided in this LOX is true and correct to the best of their knowledge.
