Terms, Representations, and Conditions

Representations and Warranties: The Client represents and warrants that it has full corporate power and authority to enter into this Financial Wrap Document and that all financial information provided to the Issuer is true, complete and accurate in all material respects as of the Funding Date. The Issuer relies on these representations in extending funds or credit.

Payment and Default: All amounts due under this document are payable in United States dollars. If a payment is not received by the due date, the outstanding balance shall bear interest at the rate set forth above and the Issuer may, after written notice and the expiration of any cure period specified in payment_terms, accelerate all outstanding obligations and pursue any remedies available at law or in equity, including collection costs and attorneys' fees.

Security and Release: To secure payment, the Client grants to the Issuer a security interest in collateral described in the related security schedule and any proceeds thereof. Upon final payment in full of all obligations, the Issuer will execute documents reasonably necessary to release such security interests. The Issuer may retain funds in escrow to satisfy fees, taxes, or other obligations as set forth in this document.

Indemnification: The Client shall indemnify, defend and hold harmless the Issuer and its affiliates, officers and agents from and against any losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising from the breach of any representation, warranty or covenant contained herein or from any third-party claim related to the transactions contemplated by this document.

Taxes and Fees: All taxes, duties and governmental charges (other than taxes on the Issuer's net income) assessed in connection with this transaction shall be paid by the Client. Any withholding required by law shall be deducted and remitted by the Client and the grossed-up amount must be paid so that the Issuer receives the full amount due.

Confidentiality: Except as required by law or as required to effectuate the financing, each party shall keep the terms and existence of this Financial Wrap Document confidential and shall not disclose the same without the prior written consent of the other party.

Governing Law and Dispute Resolution: This document shall be governed by and construed in accordance with the laws of the jurisdiction specified in governing_law. Any dispute arising out of or relating to this document shall be resolved as provided in the dispute_resolution_clause below.
