Indemnification and Liability

Consentor agrees to indemnify, defend and hold harmless Recipient and its agents, affiliates and representatives from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or in connection with actions taken by Recipient in reasonable reliance upon this consent, except to the extent such claim results from Recipient's gross negligence or willful misconduct.

Revocation; Notices

This consent may be revoked by Consentor only by providing written notice of revocation to Recipient at the address provided above. Revocation shall be effective upon Recipient's receipt of such written notice; however, revocation shall not affect actions taken by Recipient prior to receipt of such notice in reliance upon this consent.

Governing Law; Miscellaneous

This Financial Written Consent shall be governed by and construed in accordance with the substantive laws of the state or jurisdiction specified by the parties below. If any provision of this consent is held invalid, the remaining provisions shall remain in full force and effect. This consent may be executed in counterparts and delivered by electronic transmission, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
