FINANCIAL YIELD AGREEMENT

This Financial Yield Agreement (the "Agreement") is made and entered into as of by and between:

WHEREAS, Issuer desires to obtain capital and Investor is willing to provide such capital in consideration for the yield described in this Agreement; and WHEREAS, the parties desire to set forth the terms by which Investor will receive a financial yield on the principal amount delivered to Issuer.

Article 1 — Definitions

Defined terms used in this Agreement shall have the meanings ascribed below. "Principal Amount" means the aggregate amount invested by Investor:

All payments under this Agreement are made free and clear of any deduction or withholding for taxes unless required by applicable law. Each party shall keep confidential the terms of this Agreement and any non-public information disclosed in connection herewith, except as required by law or as necessary to enforce rights under this Agreement.
