FIRE PROTECTION AGREEMENT

This Fire Protection Agreement ("Agreement") is entered into as of Effective Date: by and between Service Provider: , an entity organized as , with principal place of business at , and Client: , an entity organized as , with principal place of business at .

RECITALS

WHEREAS, Provider is engaged in the business of supplying fire protection services, including inspection, maintenance, installation, testing and emergency response for fire suppression and detection systems; and

WHEREAS, Client desires to retain Provider to perform fire protection services at the premises described below under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to allocate responsibilities, set standards for performance, and provide remedies for breach.

NOW, THEREFORE

In consideration of the mutual covenants set forth herein, and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. SCOPE OF SERVICES

1.1 Provider shall furnish all labor, materials, equipment, supervision, testing, inspection and reporting necessary to provide the fire protection services described in this Agreement. Services shall include, without limitation, the following: routine inspection, preventive maintenance, repairs, alarm and suppression system testing, and emergency response as requested by Client.

2. TERM

2.1 Term. The initial term of this Agreement shall commence on Commencement Date: and continue until Expiration Date: , unless earlier terminated as provided herein.

2.2 Renewal. This Agreement shall automatically renew for successive one-year terms unless either party provides written notice of non-renewal at least days prior to the end of the then-current term.

3. FEES AND PAYMENT

3.1 Fees. Client shall pay Provider fees in accordance with the Fee Schedule attached hereto or as set forth below. The initial annual/contract fee shall be USD. Fees for repair work or parts shall be invoiced separately and are payable in accordance with Section 3.3.

3.2 Taxes. All fees are exclusive of taxes. Client shall be responsible for all sales, use or similar taxes imposed on the services, unless Client provides Provider with a valid exemption certificate.

4. INSPECTION, MAINTENANCE AND REPAIR

4.1 Provider shall perform inspections and preventive maintenance in accordance with applicable industry standards and manufacturer recommendations. Provider shall document all inspections, tests and maintenance and shall provide copies of reports to Client upon request.

4.2 Emergency Response. Provider shall use commercially reasonable efforts to respond to emergency calls within the response time set forth in the Service Standards: .

5. COMPLIANCE WITH LAW

Provider shall perform all services in compliance with all applicable federal, state and local laws, codes, ordinances and regulations governing fire protection systems and shall obtain any permits required for performance of the services.

6. INSURANCE

Provider shall maintain commercial general liability insurance, automobile liability insurance, and workers' compensation insurance in amounts sufficient to cover its obligations under this Agreement. Minimum limits for general liability shall be USD per occurrence. Provider shall furnish certificates of insurance to Client upon request.

7. INDEMNIFICATION

Provider shall indemnify, defend and hold harmless Client and its officers, directors and employees from and against any third-party claims, liabilities, losses or damages arising out of Provider's gross negligence or willful misconduct in the performance of services under this Agreement. Client shall indemnify Provider for claims arising from Client's negligence, misuse of equipment, or failure to follow Provider recommendations.

8. CONFIDENTIALITY

Each party shall keep confidential all non-public technical, financial and business information obtained from the other party in the course of performance ("Confidential Information") and shall not disclose such information except as required by law or with the prior written consent of the disclosing party. This obligation shall survive termination of this Agreement for three years.

9. TERMINATION

9.1 Termination for Cause. Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice.

9.2 Termination for Convenience. Client may terminate this Agreement without cause upon days' written notice to Provider, subject to payment for services performed and expenses incurred through the effective date of termination.

10. REMEDIES; LIMITATION OF LIABILITY

10.1 Exclusive Remedies. Except for claims arising from gross negligence or willful misconduct, the remedies set forth in this Agreement shall be the parties' exclusive remedies for any breach.

10.2 Limitation of Liability. In no event shall either party be liable to the other for consequential, incidental, special or punitive damages, including loss of profits, except to the extent such damages arise from gross negligence or willful misconduct.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered by hand, nationally recognized overnight courier, or certified mail (return receipt requested) to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section. Notices shall be effective upon receipt.

12. AMENDMENTS

This Agreement may be amended only by a written instrument signed by both parties. Any attempted amendment not executed in writing shall be void.

13. WAIVER

The failure of either party to enforce any provision of this Agreement shall not constitute a waiver of future enforcement of that or any other provision. A waiver must be in writing and signed by the waiving party.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be deemed to be original signatures.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

16. ENTIRE AGREEMENT

This Agreement, including any attachments or schedules hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral.

17. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect and the invalid provision shall be reformed only to the extent necessary to make it enforceable.

18. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect the interpretation of this Agreement. Each party represents that it has the authority to enter into this Agreement and to perform its obligations hereunder.
