Parties and Recitals

WHEREAS Fitness Center Name: , located at (the "Center"); and

WHEREAS Member Name: desires to obtain access to the Center's facilities, programs and services and to be bound by the terms set forth herein; and

WHEREAS the Center agrees to provide membership services to Member in accordance with the Scope of Services, Payment Terms, and other provisions of this Contract.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the desired termination date. The Center may suspend or terminate membership immediately for cause, including but not limited to nonpayment, material breach, or conduct that endangers other patrons.

Health, Waiver and Assumption of Risk

Member represents and warrants that Member is physically able to participate in activities at the Center, has consulted with a physician as necessary, and will notify the Center of any medical conditions that may affect Member's safe participation. Member accepts all risks associated with participation and hereby releases, waives and discharges the Center and its owners, employees, agents and contractors from any liability for personal injury, property damage, or loss arising out of or in connection with use of the Center's facilities except to the extent caused by the Center's gross negligence or willful misconduct.

Confidentiality

Except as required by law, the parties agree to keep confidential any non-public business information disclosed in connection with this Agreement, including Member account information and any proprietary operational procedures of the Center. Confidential information shall not include information that becomes publicly available without breach of this Agreement.

Indemnification

Member shall indemnify, defend and hold harmless the Center and its affiliates from and against any claims, liabilities, losses, damages, costs and expenses arising out of Member's breach of this Agreement or Member's negligent or intentional acts while on Center premises.

Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the state identified below. Any dispute arising from or related to this Agreement shall be submitted to the exclusive jurisdiction of the state and federal courts located in that state unless the parties mutually agree to binding arbitration.

Entire Agreement and Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior or contemporaneous agreements and understandings. Any modification or amendment must be in writing and signed by both parties.

Severability; Interpretation

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation.
