WHEREAS, the Gym operates fitness facilities, classes, and related services and is willing to provide access to such facilities and services to the Member subject to the terms of this Agreement;

WHEREAS, the Member desires to obtain membership privileges at the Gym and agrees to pay fees, comply with Gym rules, and accept the risks associated with participation in fitness activities;

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

Payments are due on each billing due date. If a payment is not received within seven (7) days of the due date, the Gym may assess late fees as set forth above and may suspend Member privileges until past due amounts are paid in full. Returned payments are subject to a returned-payment charge.

TERM AND TERMINATION

Term Commencement: Membership commences on and continues for the initial term specified above unless earlier terminated in accordance with this Agreement.

Termination: Either party may terminate this Agreement for convenience by providing written notice at least days prior to the desired termination date. The Gym may terminate immediately for cause, including nonpayment, material breach of Gym rules, or conduct endangering others. Early termination by Member may result in an early termination fee of , unless otherwise required by law.

CONFIDENTIALITY

Each party shall keep confidential any proprietary or non-public information disclosed by the other party in connection with this Agreement, including payment arrangements and personal health information, except as required by law. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party.

REPRESENTATIONS, ASSUMPTION OF RISK & RELEASE

The Member represents that the Member is physically able to participate in exercise and fitness activities. The Member accepts the risks inherent in the use of exercise equipment, facilities, and participation in classes. To the fullest extent permitted by law, the Member releases the Gym and its owners, employees, and contractors from liability for injury, death, or property damage arising from ordinary negligence, except to the extent such liability may not be waived by law.

NOTICES

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior agreements, understandings, and representations. Any amendment to this Agreement must be in writing and signed by both parties.
