FITNESS PARTICIPATION WAIVER

This Fitness Participation Waiver (the Agreement) is entered into by the undersigned Participant and the Fitness Facility identified below as of the Effective Date set forth herein.

WHEREAS

WHEREAS, Facility Name: operates fitness facilities and provides fitness instruction, classes, personal training and related services (collectively, the Services);

WHEREAS, Participant Name: desires to participate in the Services and use facility equipment and premises;

WHEREAS, the parties desire to set forth the terms, assumptions of risk, releases and other conditions governing Participant’s participation and the Facility’s provision of Services.

SCOPE OF ACTIVITIES

Participant will engage in the fitness activities described below and such other activities as may be reasonably provided by the Facility. Participant hereby acknowledges that the scope includes, without limitation, cardiovascular and strength training, group exercise classes, personal training, use of exercise equipment, and outdoor training conducted by or under the supervision of Facility staff.

ASSUMPTION OF RISK AND RELEASE

Participant acknowledges and understands that participation in fitness activities involves inherent risks, including but not limited to physical injury, illness, aggravation of pre-existing conditions, and, in rare cases, death. Participant voluntarily assumes all such risks and hereby releases, waives, discharges and covenants not to sue the Facility, its owners, officers, employees, contractors and agents (collectively, Released Parties) from any and all liability for any loss, damage, injury, claim or action arising from Participant’s participation, except for gross negligence or willful misconduct by the Released Parties.

Participant further agrees to indemnify and hold harmless the Released Parties from any claims, demands, losses, liabilities or expenses (including reasonable attorneys’ fees) arising out of or related to Participant’s acts or omissions in connection with the Services.

I consent to emergency medical treatment if deemed necessary by Facility staff or emergency responders.

PAYMENT TERMS

Participant agrees to pay all fees for services, membership dues and any additional charges in accordance with the terms set forth below.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience by providing written notice at least Notice Period (days): prior to the effective termination date. Facility may terminate immediately for cause, including nonpayment, misconduct, or violation of facility rules.

CONFIDENTIALITY

Participant and Facility shall maintain the confidentiality of any non-public, proprietary information disclosed in connection with the Services. Confidential information does not include information that is or becomes publicly available without breach of this Agreement, or that is required to be disclosed by law or court order.

Participant acknowledges that certain personal health information shared with Facility (e.g., medical history disclosed to trainers) will be handled in a confidential manner and only shared with staff on a need-to-know basis for safety and treatment purposes.

MEDICAL ACKNOWLEDGMENT & EMERGENCY CONTACT

PHOTO AND MEDIA RELEASE

Participant hereby grants the Facility the right to photograph and record Participant during activities and to use such images and recordings for promotional, educational or other lawful purposes, unless Participant declines below.

I DO NOT consent to photography or media use of my likeness.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the State selected below. Any dispute arising under this Agreement shall be resolved in the courts of that state. State of Governing Law:

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior oral or written representations, negotiations and agreements. Any amendment must be in writing signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Waiver of any breach shall not be deemed a waiver of any subsequent breach.
