FIXED PRICE CONTRACT

Parties and Effective Date

This Fixed Price Contract ("Contract") is entered into as of (the "Effective Date") by and between:

WHEREAS, Contractor has represented that Contractor has the capability, experience and qualifications to perform the services described in this Contract; and WHEREAS, Client desires to engage Contractor to perform such services on the terms and conditions set forth herein. Invoices & Payment Terms

Contractor shall submit invoices upon completion of each milestone. Client shall pay undisputed amounts within days of receipt of a proper invoice. Late payments shall bear interest at % per month, commencing after days past due.

Change Orders

Any change to the Scope of Work or Contract Price must be documented in a written change order signed by authorized representatives of both parties. No verbal change shall be binding. If the change order affects the Contract Price or schedule, adjustments shall be agreed in writing prior to performance.

Delivery, Acceptance and Liquidated Damages

Deliverables shall be presented for Client acceptance. Client shall accept or provide written rejection with specific deficiencies within days of delivery. If acceptance tests fail, Contractor shall correct deficiencies at Contractor's expense. If a delivery date is missed, liquidated damages (if any) shall be calculated as:

Representations, Warranties and Remedies

Contractor represents that the services will be performed in a professional manner consistent with industry standards. Contractor warrants that delivered work will be free from material defects for a period of from acceptance. Client's exclusive remedies for breach of warranty shall be repair, replacement or, if Contractor fails to cure within a reasonable time, refund of a portion of the Contract Price attributable to the defective deliverable.

Indemnification & Liability

Each party shall indemnify, hold harmless and defend the other from third-party claims arising from its negligent acts or willful misconduct. Except for indemnification and willful misconduct, Contractor's aggregate liability for any claim arising under this Contract shall not exceed the total Contract Price paid by Client.

Confidentiality and Intellectual Property

Each party will keep confidential the other party's proprietary information disclosed under this Contract. Contractor grants to Client a perpetual, worldwide, royalty-free license to use deliverables for Client's internal business purposes. Unless otherwise agreed in writing, Contractor retains ownership of Contractor's pre-existing tools, methods and intellectual property.

Insurance

Contractor shall maintain insurance appropriate to the services provided, including commercial general liability and professional liability as applicable. Evidence of insurance shall be provided upon Client's request.

Termination

Either party may terminate this Contract upon material breach by the other party that is not cured within days after written notice. Upon termination for Client convenience, Contractor shall be paid for services performed and reasonable demobilization costs; however, no speculative profits shall be payable.

Force Majeure

Neither party shall be liable for delays or failures to perform due to causes beyond its reasonable control, including but not limited to acts of God, governmental actions, strikes, or pandemics. The affected party shall notify the other promptly and shall use reasonable efforts to resume performance.

Governing Law & Dispute Resolution

This Contract shall be governed by the laws of the state specified by Client below. The parties shall attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be submitted to binding arbitration administered under the commercial arbitration rules selected by the parties.

Miscellaneous

Assignment: Neither party may assign this Contract without the other party's prior written consent, except to a successor in interest to substantially all of its business. Severability: If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force. Entire Agreement: This Contract constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations and agreements.
