DEFAULT AND REMEDIES

Events of Default include: (a) Borrower's failure to make any payment when due and such failure continues for more than days after notice; (b) Borrower's insolvency, appointment of receiver, or bankruptcy filing; (c) any material breach of representations, warranties or covenants in this Agreement.

Upon the occurrence of an Event of Default, Lender may, at its option, declare the entire unpaid principal and accrued interest immediately due and payable and exercise all rights and remedies available at law or in equity, including foreclosure on collateral, if any. Default interest rate after acceleration: per annum.

REPRESENTATIONS, COVENANTS AND WARRANTIES

Borrower represents and warrants that Borrower has the corporate or individual power and authority to execute and deliver this Agreement; the execution and performance will not violate any law or contractual obligation; all information provided to Lender is true and complete in all material respects. Borrower covenants to maintain insurance on collateral, if any, and to provide evidence of such insurance to Lender upon request.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered by hand, overnight courier, or certified mail to the addresses set forth above or to such other address as a party may designate by notice to the other. Notice shall be effective upon receipt.

GOVERNING LAW; MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Lender may assign or sell interests in the Loan without Borrower's consent and Borrower shall remain liable for performance hereunder.

Amendment and Waiver: This Agreement may be amended only by a written agreement executed by both parties. No waiver shall be effective unless in writing signed by the party granting such waiver.

Severability; Entire Agreement: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings.
