Either party may terminate this Agreement for cause upon written notice to the other party describing the breach with specificity and providing a -day opportunity to cure. Either party may terminate without cause upon days' prior written notice to the other party.

Confidentiality

Each party shall maintain the confidentiality of non-public information disclosed by the other party in connection with this Agreement and shall not disclose such information except to employees, agents, or contractors who need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law or court order, provided the disclosing party is given prompt notice to seek protective relief.

Claims and Client Obligations

The Client shall give prompt written notice to the Service Provider of any loss or event that may give rise to a claim under the Policy and shall cooperate fully in the claims process. Service Provider shall use commercially reasonable efforts to assist Client with claims notice and documentation but is not the insurer and does not guarantee claim outcomes.

Indemnification and Limitation of Liability

Client agrees to indemnify and hold harmless Service Provider from and against any and all claims, liabilities, losses and expenses arising from Client's breach of this Agreement or from Client's failure to disclose material facts to insurers. Service Provider's liability under this Agreement shall be limited to direct damages not to exceed the total fees paid to Service Provider under this Agreement; in no event shall Service Provider be liable for consequential, incidental, punitive or special damages.

Notices

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. This Agreement, together with any attachments and the Policy documentation, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, relating to flood insurance procurement and administration for the Property. Any amendment must be in writing signed by both parties.

Miscellaneous Provisions

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or successor in connection with a sale of its business.
