What a Floor Preparation Agreement Is and When It’s Used

A Floor Preparation Agreement is a written contract that defines the scope, schedule, responsibilities, and acceptance criteria for preparing a floor surface before installation of final finishes (carpet, tile, wood, epoxy, or other coverings). It typically covers site inspection, removal or remediation of existing materials, leveling, moisture testing, substrate repair, protection of adjacent areas, and final acceptance testing. The agreement clarifies who supplies materials and labor, payment milestones, warranties, insurance and indemnity limits, and any required permits or code compliance. Clear documentation reduces disputes and speeds project closeout.

Why a Floor Preparation Agreement Matters for Risk and Quality Control

A formal agreement assigns responsibilities, sets measurable acceptance criteria, and limits liability for defects or delays; it supports enforceability under the ESIGN Act (15 U.S.C. ch. 96) and state UETA laws when executed electronically.

Why a Floor Preparation Agreement Matters for Risk and Quality Control

Who typically completes or signs this agreement

Practical participants include parties responsible for delivering, inspecting, approving, or financing floor preparation work.

  • General contractors and subcontractors responsible for preparation and remediation tasks
  • Property owners, facility managers, and developers overseeing quality and payments
  • Specifiers, architects, and inspectors who require documented acceptance criteria

The agreement clarifies roles so project managers, owners, and contractors have a single source of truth to reduce conflicts.

Typical signatories and their responsibilities

General Contractor

Project manager or contracting company signs to confirm scope, schedule, and that work will meet specified tolerance and surface conditions. The GC often coordinates subcontractors, obtains permits, and carries required insurance and bonds for the work.

Property Owner

Owner or owner’s representative signs to accept the defined scope, payment schedule, and final acceptance tests. The owner confirms site access, approves materials or substitutes, and holds authority to withhold payment for nonconforming work.

Essential clauses to include in a professional Floor Preparation Agreement

Include clear, measurable terms so both parties understand acceptance criteria, timelines, responsibilities, payment, and remedies.

Scope of Work

Detailed description of all tasks (removal, grinding, patching, moisture mitigation), referenced drawings, and any excluded items so there is no ambiguity about contractor obligations.

Acceptance Criteria

Concrete tolerances (flatness, level, moisture thresholds in % or pH), testing methods, and who performs and pays for tests to establish objective pass/fail conditions.

Schedule and Milestones

Start and completion dates, critical milestones, weather or site-delivery contingencies, and liquidated damages or delay remedies if applicable.

Payment Terms

Defined payment schedule tied to milestones or percent complete, retainage terms, invoicing requirements, and address for disputed invoices.

Warranties and Remedies

Warranty period for preparation work, cure obligations, correction timelines, and limits on consequential damages or indemnities.

Insurance and Permits

Required insurance limits, certificate provision, required permits or inspections, and responsibilities for code compliance and site safety.

Step-by-step: filling out a Floor Preparation Agreement

Follow these sequential steps to prepare a complete, enforceable document before any on-site work begins.

  • 01
    1. Define scope: List tasks, references, exclusions.
  • 02
    2. Set acceptance tests: Specify test methods and thresholds.
  • 03
    3. Agree schedule: Insert start, milestones, completion.
  • 04
    4. Sign and retain: Obtain authorized signatures, store copies.

How to set up the agreement as a digital workflow

Configure a repeatable online workflow so each new project uses the same fields, approvals, and notifications.

Field Configuration
Signature blocks Add signer name, title, date fields; require initials on change pages
Conditional fields Show moisture mitigation exhibit if test exceeds threshold
Approvals Add reviewer step for architect or owner rep
Notifications Email alerts for milestone completion and test results

Where to send and how routing typically works

A typical routing flow ensures each stakeholder receives the right version for review and signature in the correct order.

  • Upload Document: Sender uploads final agreement PDF or DOCX to the signing platform.
  • Place Fields: Sender assigns signature, date, and initial fields to each party.
  • Add Signers: Enter signer emails or create signing links for guest signing.
  • Finalize & Distribute: Send to signers; completed copies go to all parties and project file.

Digital signing: platform features to consider

Choose a platform that supports secure eSigning, audit trails, and the integrations you need for project workflows.

  • Integrations: Salesforce, NetSuite, Procore, Microsoft 365
  • File formats: PDF, DOCX, HTML support
  • Security: TLS 1.2/1.3 and AES-256 encryption

Common timelines and processing expectations

Set realistic deadlines tied to project milestones and testing windows to avoid costly rework and scheduling conflicts.

Pre-work inspection:

Complete 7–14 days before mobilization

Moisture testing:

Perform within 48–72 hours of prep completion

Correction period:

Allow 3–14 days for remediation depending on severity

Final acceptance:

Issue within 7 days after passing tests

Warranty commencement:

Starts on signed final acceptance date
