FLOORING EXPECTATIONS AGREEMENT

This Flooring Expectations Agreement (Agreement) is entered into by and between Client Name: and Contractor Name: . The parties agree as follows.

WHEREAS

WHEREAS, Client desires to have certain flooring work performed at the property located at Property Address: ; and

WHEREAS, Contractor is engaged in the business of supplying and installing flooring and represents that Contractor has the skill, experience and ability to perform the services described in this Agreement in a professional manner; and

WHEREAS, the parties desire to set forth their mutual understandings and expectations with respect to the scope, schedule, payment and other material terms governing the performance of the flooring work.

SCOPE OF WORK

Work shall include, without limitation, removal of existing flooring where indicated, surface preparation, supply and installation of new flooring materials, trim and transition pieces, adhesive or fastening systems as applicable, and final cleaning. Specific room(s) and areas included:

MATERIALS AND SUBSTITUTIONS

Substitutions: Contractor may propose a reasonably equivalent substitute for unavailable materials. Any substitution that increases price or materially changes the appearance or performance requires Client written consent in a Change Order.

SCHEDULE AND ACCESS

Contractor shall perform work during normal business hours unless otherwise agreed. Client shall provide Contractor reasonable access to the property, utilities, and a secure staging area. Delays caused by Client access restrictions, unanticipated structural conditions, concealed damage, or delayed material delivery will extend the schedule and may result in additional charges.

CLIENT OBLIGATIONS

Client shall remove all personal property from work areas and secure fragile items. Client shall disclose known subfloor conditions, past water intrusion, or other conditions that could affect installation. Client acknowledges that minor variations in color, grain, or texture are normal for natural flooring products.

PAYMENT TERMS

Final payment is due upon substantial completion and Client acceptance following final inspection, absent a properly submitted written punch list. All amounts not paid within 14 days of invoice date shall incur a late fee of , or the maximum permitted by law, whichever is less.

CHANGE ORDERS

Any change in the Scope of Work, materials, or schedule shall be documented in a written Change Order signed by both parties. Change Orders shall specify the change, associated cost, and any adjustment to the completion date. Contractor shall not be obligated to perform changes unless a signed Change Order is executed.

TERM AND TERMINATION

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days' written notice. Upon termination, Client shall pay Contractor for work performed and materials ordered up to the date of termination.

CONFIDENTIALITY

Each party shall hold in confidence all non-public business information of the other party obtained in connection with this Agreement, including pricing, proposals, business processes, and technical information (Confidential Information). Confidential Information shall not include information that is or becomes publicly available other than through a breach of this Agreement, or that a party can demonstrate it had independently developed prior to disclosure. The receiving party shall not disclose Confidential Information to third parties except to its employees or subcontractors with a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. This confidentiality obligation survives termination of this Agreement for a period of three (3) years.

WARRANTY AND ACCEPTANCE

Contractor warrants that workmanship shall be free from defects for a period of from substantial completion, subject to the manufacturer's warranty for materials. This warranty does not cover damage from normal wear and tear, improper maintenance, moisture intrusion, structural issues, or misuse. Client must notify Contractor in writing of any warranty claim within a reasonable time after discovery.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Contractor shall indemnify and hold Client harmless from claims arising out of Contractor's negligent performance of the Work to the extent caused by Contractor's acts or omissions. Except for liability arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, or punitive damages. Contractor's total liability for any claim arising out of this Agreement shall not exceed the total contract price paid by Client.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state specified for governing law: , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any written Change Orders executed by the parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations, representations, and agreements, whether written or oral.
