RECITALS

WHEREAS, Client desires to obtain subfloor leveling services at the Project Address described above in order to prepare the subfloor for flooring installation; and

WHEREAS, Contractor represents that it is duly qualified, experienced and licensed to perform subfloor leveling, to provide necessary materials, labor and supervision in accordance with industry standards and the terms of this Proposal; and

WHEREAS, the parties desire to set forth the scope of work, payment terms, timelines and other material terms governing the performance of subfloor leveling at the Project Address.

SCOPE OF WORK

Contractor shall perform subfloor leveling services including removal of loose debris, localized repair of damaged substrate, installation of approved leveling compound, feathering, grinding where required, and preparation to receive finish flooring as described below. All work shall be performed in a professional, workmanlike manner consistent with trade standards.

PAYMENT TERMS

Client agrees to pay Contractor the total amount specified in this Proposal in accordance with the schedule below. All sums are due in U.S. dollars and are exclusive of applicable sales taxes unless otherwise stated.

All invoices not disputed in writing within seven (7) days of receipt shall be deemed accepted. Failure to timely pay any undisputed amount shall entitle Contractor to suspend work, terminate this Proposal, and recover costs and damages, including reasonable collection expenses and attorneys' fees.

TERM AND TERMINATION

This Proposal commences on Start Date and continues until completion of the Scope of Work unless earlier terminated pursuant to the terms below.

Either party may terminate this Proposal for material breach if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve Client of the obligation to pay for work performed and materials purchased prior to termination.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to third parties any proprietary, pricing, or technical information of the other party disclosed in connection with this Proposal, except as required by law or as necessary to perform obligations under this Proposal. Confidential information shall remain the property of the disclosing party, and the receiving party shall take reasonable measures to protect such information from unauthorized disclosure.

WARRANTY; EXCLUSIONS

Contractor warrants that work performed shall conform to the Scope of Work and shall be free from defects in workmanship for a period of from completion. Warranty shall be void for defects arising from subsequent trades, substrate movement, moisture intrusion, structural defects, or improper maintenance. Materials are warranted only to the extent of the manufacturer's warranty.

CHANGE ORDERS

Any changes to the Scope of Work shall be made only by written Change Order signed by both parties. Change Orders shall specify additional work, materials, adjustments to the Contract Price and any impact on the schedule. Contractor shall not be obligated to perform changed work without a signed Change Order.

SITE CONDITIONS, PERMITS AND ACCESS

Client warrants that areas to be worked on are accessible and that Client will obtain any necessary property owner consents. Contractor shall obtain permits only as expressly set forth in this Proposal. Responsibility for permits:

INSURANCE AND LIENS

Contractor represents that it maintains general liability and workers' compensation insurance in amounts consistent with industry practice. Contractor shall furnish proof of insurance upon request. Contractor reserves the right to record mechanic's liens for unpaid work in accordance with applicable law.

GOVERNING LAW; DISPUTE RESOLUTION

This Proposal shall be governed by and construed in accordance with the laws of the jurisdiction selected below. Any dispute arising under this Proposal shall be resolved by binding arbitration or litigation as selected in writing by the parties; venue shall be located in the selected jurisdiction.

ENTIRE AGREEMENT

This Proposal, including any signed Change Orders, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements, proposals or representations. No modification shall be binding unless in writing and signed by both parties.
