Either party may terminate this Order for cause upon written notice to the other party describing the breach and providing a cure period of days. Supplier may suspend deliveries or installations for nonpayment immediately after written notice.

Confidentiality

Each party shall keep confidential all non-public information disclosed in connection with this Order, including pricing, product specifications, trade practices and project documentation, and shall not disclose such information except to employees, contractors or affiliates who need to know and who are bound by confidentiality obligations no less protective than those in this section. Confidential information does not include information that becomes public other than by breach, or that is required to be disclosed by law.

Warranties, Returns & Cancellations

Supplier warrants that materials supplied will conform to the product specifications at time of delivery. Client must inspect materials upon delivery; claims for visible defects or shortages must be made in writing within 5 business days of delivery. Tiles cut to order, special-order items, and sealed goods are non-returnable. Cancellation of orders after Supplier has placed production or purchase orders may result in cancellation charges to cover Supplier's costs and losses.

Governing Law

This Order Form and any dispute arising out of it shall be governed by the laws of the State of , without regard to conflict of laws principles.

Entire Agreement

This Order Form, including any attachments, specifications and accepted purchase orders, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior discussions, proposals and agreements.
