What the Floral Services Contract Covers

A Floral Services Contract is a written agreement that sets the terms for the sale, delivery, setup, and removal of floral products and services for events or ongoing accounts. It identifies the parties, describes the bouquet designs or floral installations, specifies quantities and substitutions, allocates payment schedules and deposits, and records delivery and setup windows. The contract also addresses cancellation and refund policies, liability for damaged or late items, and any venue requirements. Clear, signed contracts reduce disputes and clarify expectations between florist and client.

Why a Written Floral Services Contract Matters

A clear contract protects both florist and client by documenting services, timelines, costs, and remedies; it creates objective expectations that simplify fulfillment and dispute resolution.

Why a Written Floral Services Contract Matters

Who Typically Uses a Floral Services Contract

Floral services contracts are used by independent florists, event planners, venues, and corporate procurement teams to formalize orders and responsibilities.

  • Independent florists and studios managing custom event orders and deliveries.
  • Event planners coordinating multiple vendors and payment schedules.
  • Venues and hospitality teams overseeing onsite setup and access.

Signing a concise contract helps all parties manage expectations, confirm logistics, and document payment and cancellation terms before the event date.

A robust Floral Services Contract groups essential terms into clear sections so parties can find obligations and remedies quickly during planning and on event day.

  • Undefined payment milestones and refund conditions that create collection problems or disagreements about forfeited deposits.
  • Failure to include contingency plans for substitutions, force majeure, or vendor cancellations, increasing financial exposure.

Key Risks and Potential Consequences

Payment Disputes: Delayed or withheld payments
Delivery Failure: Event disruption and liability
Tax Exposure: Sales tax miscollection risk
Breach Claims: Contract damages or litigation
Voidable Terms: Ambiguities can render clauses unenforceable
Reputational Harm: Negative reviews and lost referrals
