FOOD DONATION AGREEMENT

Recitals

WHEREAS, Donor Name: possesses surplus food items and desires to donate such items to Recipient for distribution to individuals in need; and

WHEREAS, Recipient Name: is an organization that accepts donated food for charitable distribution and is willing to accept, store, and distribute the donated food in accordance with applicable food safety standards; and

WHEREAS, the parties wish to set forth the terms and conditions under which the donated food will be transferred and accepted effective as of Effective Date: .

Scope of Work

Description of donated items, identification, quantity estimates, and special handling requirements are set forth below. Donor will procure and prepare the items described for transfer in accordance with the terms of this Agreement.

Delivery, Transfer of Title, and Acceptance

Delivery Location:

Title to donated food shall pass from Donor to Recipient upon physical acceptance by Recipient at the Delivery Location as evidenced by signature on the delivery receipt. Recipient's acceptance constitutes acknowledgment that, to the extent reasonably observable upon inspection, the items conform to the description in Section Scope of Work.

Payment Terms

The parties acknowledge that this Agreement is primarily a gratuitous transfer of food from Donor to Recipient. The following provisions apply if the parties agree that Recipient will reimburse Donor for handling, transportation, or other costs.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon prior written notice of Notice Period (days): to the other party. Either party may terminate immediately for material breach that is not cured within a commercially reasonable time following written notice.

Food Safety, Warranties, and Indemnity

Donor represents and warrants, to the best of its knowledge based on its handling and records, that donated food has been stored and handled in accordance with applicable food safety practices and is fit for human consumption at time of transfer. Donor does not warrant against latent defects not reasonably discoverable at the time of pickup.

Recipient acknowledges that upon acceptance it assumes responsibility for proper storage, handling, distribution, and any required notices regarding ingredients, allergens, or shelf life. Recipient shall indemnify and hold Donor harmless from any claims, losses, or liabilities arising out of Recipient's storage, distribution, or use of the donated food following acceptance, except to the extent caused by Donor's gross negligence or willful misconduct.

I acknowledge receipt of the foregoing warranties and agree to the indemnity provisions.

Confidentiality

Each party shall maintain in confidence any non-public business or personal information disclosed by the other party in connection with the donation, including donor lists, pricing or donor proprietary food formulations, and shall not disclose such information except as required by law or to employees or contractors with a need to know who are bound by confidentiality obligations no less protective than those herein.

Parties acknowledge and agree to the confidentiality obligations set forth in this section.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State specified below, without regard to its conflict of law principles.

Entire Agreement

This Agreement, including any written attachments and delivery receipts executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or successor in interest upon notice to the other party.
