FOOD SERVICE SNACKS AGREEMENT

This Food Service Snacks Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: and Provider Name: .

WHEREAS

WHEREAS, Client operates food service facilities and seeks the supply and delivery of packaged snack items for resale or distribution to end consumers; and

WHEREAS, Provider is engaged in the procurement, packaging and distribution of snack products and represents that such products are prepared, labeled and delivered in accordance with applicable food safety and labeling requirements; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the supply, delivery, inspection and payment for snack products under the terms set forth in this Agreement.

1. SCOPE OF WORK

Provider shall supply, package, label and deliver snack products to Client in accordance with the specifications, quantities and delivery schedule set forth below and in the Scope of Work. Provider shall maintain product traceability sufficient to support recalls, customer inquiries and regulatory inspections.

The following table summarizes sample items, quantities and unit pricing. The parties may attach or append supplemental price schedules as Addenda to this Agreement.

3. DELIVERY, ACCEPTANCE AND STORAGE

Provider shall deliver products to Delivery Location specified below on the Delivery Schedule set forth in the Scope of Work. Title and risk of loss shall pass to Client upon delivery and acceptance at Client's designated receiving location, subject to Client's right to inspect and reject non-conforming items within a reasonable acceptance period not to exceed five (5) business days after delivery.

4. PAYMENT TERMS

Client shall pay Provider for delivered and accepted products in accordance with the pricing set forth above and the payment schedule below. Invoices shall itemize products delivered, delivery dates and applicable taxes or fees.

5. TERM AND TERMINATION

This Agreement shall commence on Start Date and continue in effect until End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the Notice Period after receiving written notice specifying the breach. Either party may terminate for convenience upon providing the Notice Period written notice.

6. CONFIDENTIALITY

Each party shall keep confidential all proprietary business information, trade secrets, pricing, customer lists and other non-public information disclosed in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that is (i) publicly known through no breach by the receiving party, (ii) rightfully received from a third party without confidentiality obligations, or (iii) independently developed without use of the disclosing party's Confidential Information.

The receiving party shall use Confidential Information only for performance of this Agreement and shall return or destroy such information upon termination. Confidentiality obligations survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

7. RECALLS, ALLERGENS AND FOOD SAFETY

Provider shall maintain processes for product traceability and shall promptly notify Client in writing of any food safety incident, contamination, or recall affecting products supplied under this Agreement. Provider shall cooperate with Client and regulatory authorities in connection with any recall, including providing product lot codes, distribution records and corrective action plans.

Provider represents and warrants that all products supplied will be prepared, packaged and labeled in compliance with applicable food safety requirements and that labeling will conspicuously disclose allergens. Provider shall maintain insurance coverage customary for food manufacturers and distributors and shall provide certificates of insurance upon request.

8. INDEMNIFICATION AND LIMITATION OF LIABILITY

Provider shall indemnify, defend and hold harmless Client and its affiliates, officers and employees from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of Provider's breach of this Agreement, negligence, willful misconduct, or the supply of defective or contaminated products. Client shall indemnify Provider for claims arising from Client's improper storage, handling or distribution after delivery.

Except for indemnification for bodily injury, death or third-party property damage caused by a party's negligence or willful misconduct, neither party's aggregate liability for direct damages under this Agreement shall exceed the total fees paid or payable by Client to Provider in the six (6) months preceding the claim.

9. INSURANCE

Provider shall maintain commercial general liability, product liability and other coverage customary for its business operations with limits sufficient to cover potential claims arising from supplied products. Provider shall furnish certificates of insurance to Client upon request.

10. GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state identified below without regard to conflict of laws principles.

This Agreement, including all exhibits and addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail or overnight courier and shall be effective upon receipt.

12. MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall constitute a waiver of any subsequent breach. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor in interest.
