FOOD TRUCK CATERING CONTRACT

This Food Truck Catering Contract (the Agreement) is made effective as of by and between Client Name: with mailing address (Client) and Vendor Name: doing business as with mailing address (Vendor).

RECITALS

WHEREAS, Client desires to retain Vendor to provide mobile catering services for a private event described herein, including preparation, service, and on-site operations in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, Vendor represents that it is duly licensed, equipped, and staffed to provide food truck catering services, and will maintain all permits, licenses, and insurance required by applicable law for the performance of such services; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the catering services for the Event described below.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the sufficiency of which is acknowledged, the parties agree as follows:

1. SERVICES

Vendor shall provide catering services consisting of the preparation, on-site service, and removal of food and related equipment for the Event. Services include menu preparation as specified in Section 3, staffing sufficient to serve the expected guest count, routine on-site setup and cleanup, and compliance with applicable health and safety requirements. Vendor will not expand the scope of services without prior written consent from Client, which may be evidenced by email or signed amendment.

4. CANCELLATION AND FORCE MAJEURE

If Client cancels the Event more than days prior to the Event, Vendor will refund the deposit less actual expenses incurred. If Client cancels within such notice period, Vendor may retain the deposit as liquidated damages. Vendor may cancel for cause upon material breach by Client or if conditions at the Event present an unreasonable risk to health or property; in such event Vendor will refund amounts paid for unperformed services less expenses incurred.

Neither party shall be liable for delay or failure to perform to the extent caused by events beyond its reasonable control, including but not limited to natural disaster, government action, public health emergency, acts of terrorism, or utility outage (Force Majeure). The affected party shall provide prompt notice and use commercially reasonable efforts to mitigate the effect of such event.

5. PERMITS, INSURANCE AND COMPLIANCE

Vendor shall procure and maintain at its expense all permits, licenses, and approvals required for the preparation and sale of food at the Event and shall maintain general liability insurance and workers' compensation coverage as required by law. Vendor agrees to provide certificates of insurance upon reasonable request. Client shall be responsible for obtaining any site-specific permits required to host the Event at the Event Location unless otherwise agreed in writing.

If utilities are not provided, Vendor will supply necessary self-contained systems subject to additional fees agreed in writing.

6. INDEMNIFICATION AND WARRANTY

Vendor warrants that food shall be prepared and served in accordance with applicable health codes and industry standards. Vendor shall indemnify, defend and hold harmless Client, its officers, agents and employees from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of Vendor's negligence, willful misconduct, or breach of this Agreement, including claims for personal injury or property damage caused by Vendor's employees or equipment.

Client shall indemnify, defend and hold harmless Vendor from claims, liabilities, damages, losses and expenses arising out of Client's negligence, willful misconduct, or breach of this Agreement, including claims arising from acts or omissions of guests, event attendees, or third parties engaged by Client.

7. LIMITATION OF LIABILITY

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, EACH PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNTS ACTUALLY PAID TO VENDOR BY CLIENT UNDER THIS AGREEMENT. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. EQUIPMENT, STAFFING AND CLEAN-UP

Vendor shall supply the food truck, required cooking equipment, utensils, and a crew adequate to perform the Services. Vendor shall remove its equipment and reasonable refuse generated by Vendor's operations at the conclusion of the Event. Client shall provide adequate, accessible parking and unobstructed access for Vendor's vehicle(s) and shall notify Vendor of any site-specific restrictions at least days prior to the Event.

9. NOTICES

All notices required or permitted by this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate in writing.

10. AMENDMENT, WAIVER, COUNTERPARTS

This Agreement may be amended or modified only by a written instrument signed by both parties. No waiver of any breach shall be effective unless in writing and signed by the waiving party. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Electronic signatures or scanned signatures transmitted by email shall be treated as originals for all purposes.

11. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws provisions. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether oral or written. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12. MISCELLANEOUS

The parties acknowledge that each has had the opportunity to review this Agreement with counsel. Headings are for convenience only and shall not affect interpretation. All monetary amounts are in U.S. dollars unless otherwise stated.
