FOOTAGE LICENSE AGREEMENT

Recitals

WHEREAS, Licensor is the sole owner of certain motion picture footage and underlying materials described below and has the right to license such materials to third parties;

WHEREAS, Licensee desires to obtain from Licensor a license to use the specified footage for the Permitted Uses set forth in this Agreement, and Licensor is willing to grant such license on the terms and conditions herein; and

WHEREAS, the parties intend that this Agreement shall set forth the entire agreement between them with respect to the license of the Licensed Footage.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. Definitions

1.1 Licensed Footage. "Licensed Footage" means the motion picture footage, stills, audio tracks, metadata and related deliverables described as follows:

1.2 Permitted Uses. "Permitted Uses" means the uses expressly granted in Section 2 of this Agreement and no other use.

1.3 Territory. "Territory" means the geographic area in which Licensee is authorized to exploit the Licensed Footage:

Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a Non-Exclusive Exclusive license to use the Licensed Footage solely for the Permitted Uses in the Territory for the Term specified in Section 3. Any rights not expressly granted are reserved by Licensor.

3. Term

Licensee shall have days from receipt to inspect and accept or reject the materials for material nonconformity. Failure to timely reject shall constitute acceptance.

6. Ownership and Rights

Licensor represents and warrants that it owns or controls all right, title and interest in and to the Licensed Footage and has full authority to grant the license granted herein. Except for the license expressly granted, all right, title, and interest in the Licensed Footage, including copyright, are and shall remain with Licensor.

Licensee shall not edit, alter, create derivative works, sublicense, sell, or assign the Licensed Footage except as expressly permitted by this Agreement and only with Licensor's prior written consent.

Each party represents and warrants that it has full power and authority to enter into this Agreement. Licensor further represents that, to the best of its knowledge, the Licensed Footage does not infringe any third-party rights and that no third party's consent is required for the grant of the rights herein except as disclosed in writing to Licensee.

9. Indemnification

Licensee shall defend, indemnify and hold harmless Licensor and its officers, agents and employees from and against any and all third-party claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of Licensee’s use of the Licensed Footage in a manner not permitted by this Agreement or in breach of Licensee's representations and warranties.

10. Limitation of Liability

IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY LICENSEE UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Confidentiality

Each party shall keep confidential and shall not disclose to any third party any non-public information disclosed by the other party in connection with this Agreement, except as required by law or as necessary to perform its obligations hereunder. Confidential information does not include information that is or becomes publicly known other than through breach of this Agreement.

12. Termination

Either party may terminate this Agreement upon material breach by the other party if such breach is not cured within thirty (30) days after written notice. Upon termination, all rights granted to Licensee shall revert to Licensor, and Licensee shall cease all use of the Licensed Footage and, at Licensor's election, return or destroy all copies.

All notices under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as a party may designate by written notice):

Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that Licensor may assign to an affiliate or purchaser of substantially all of its business or assets without such consent provided that the assignee assumes Licensor's obligations hereunder.

15. Amendments; Waiver; Counterparts

No amendment or modification of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties. The failure of either party to enforce any provision shall not constitute a waiver of future enforcement. This Agreement may be executed in counterparts, each of which shall constitute an original and all of which together shall constitute one instrument.

16. Governing Law; Entire Agreement; Severability

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified by the parties: , without regard to its conflict of laws principles.
