Recitals

This Forbearance Loan Agreement (the Agreement) is made between the Lender identified above and the Borrower identified above concerning the loan identified as Loan No. , originally dated , with an original principal balance of $ and an outstanding principal balance of $ as of the Effective Date.

Forbearance Terms

1. Forbearance Period. Lender agrees to forbear from exercising remedies for Borrower's existing payment defaults beginning on and ending on (the Forbearance Period), unless earlier terminated in accordance with this Agreement.

2. Deferred Amounts. During the Forbearance Period, Borrower shall be allowed to defer $ of scheduled payments (the Deferred Amounts). Deferred Amounts shall be treated as permitted deferment and shall be repaid pursuant to the Repayment Schedule below.

3. Interest Accrual. Interest shall accrue during the Forbearance Period at the rate of per annum, and shall be capitalized and added to the outstanding principal upon termination of the Forbearance Period unless otherwise set forth herein.

4. Required Payments During Forbearance. Borrower shall make reduced payments of $ per month on or before the day of each month during the Forbearance Period. Such payments shall be applied first to accrued interest, then to principal, unless expressly agreed otherwise in writing.

5. Repayment Schedule. Deferred Amounts, plus any accrued interest, shall be repaid as set forth in the Repayment Schedule below. Borrower may prepay all or any portion of the Deferred Amounts without penalty.

6. Events of Default. The occurrence of any one or more of the following shall constitute an Event of Default: (a) Borrower's failure to make any required payment when due; (b) Borrower's breach of a covenant, representation or warranty in this Agreement; (c) Borrower's insolvency, bankruptcy filing, or appointment of a receiver; or (d) material adverse change in Borrower's financial condition.

7. Remedies. Upon the occurrence of an Event of Default, Lender may, at its election, terminate the Forbearance Period and accelerate the entire unpaid principal and accrued interest, and pursue all rights and remedies available at law or equity, including collection costs and reasonable attorneys' fees.

Representations, Warranties, and Covenants

8. Borrower's Representations. Borrower represents and warrants that: (a) Borrower has the full power and authority to enter into and perform this Agreement; (b) this Agreement constitutes a legal, valid, and binding obligation enforceable in accordance with its terms; and (c) no Event of Default has occurred other than as expressly described in writing in the recitals.

9. Covenants. Borrower covenants to make timely payments required under this Agreement and to provide Lender with documentation reasonably requested by Lender to verify Borrower's financial condition during the Forbearance Period.

Fees; Costs; Miscellaneous

10. Fees and Costs. Borrower agrees to pay reasonable costs and expenses incurred by Lender in enforcing its rights under this Agreement, including reasonable attorneys' fees, court costs, and collection costs.

11. Amendments; Waiver. This Agreement may be amended or modified only by a written instrument executed by both parties. No failure or delay by Lender in exercising any right shall operate as a waiver of that right.

12. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles.

13. Notices. All notices required or permitted under this Agreement shall be in writing and delivered to the parties at the addresses set forth above or to such other address as either party may designate by written notice.
