What a Foreign Direct Investment Agreement Is

A Foreign Direct Investment Agreement is a legally binding contract that governs a cross-border capital investment between an investor (often a foreign entity) and a target business or project in the United States. It sets investment amount, timing, governance rights, transfer and repatriation rules, representations and warranties, conditions precedent, and compliance obligations. The agreement allocates commercial risk, defines exit mechanics, and records regulatory undertakings such as national security reviews or sector-specific approvals. Parties commonly use these agreements to document equity purchases, joint ventures, or long-term project financing.

Why a Clear Agreement Matters for Cross-Border Investment

A well-drafted Foreign Direct Investment Agreement reduces regulatory risk, clarifies investor and target obligations, preserves enforceable remedies, and demonstrates compliance with U.S. review processes. It helps prevent disputes, supports bank and auditor reviews, and provides a documented basis for tax and reporting obligations.

Stakeholders include finance, compliance teams, and government reviewers when national security or sector approvals apply.
