- 1 - SINGLE-MEMBER OPERATING ARRANGEMENT OF _______________________________ LIMITED LIABILITY COMPANY STATE OF NEVADA THIS OPERATING ARRANGEMENT is hereby established, this the _____ day of ______________, 20___, by _____________________________________ the Initial Member. The Initial Member contemplates that additional Members may join the limited liability company in the future, and the following Operating Arrangement has therefore been developed. ARTICLE I FORMATION OF LIMITED LIABILITY COMPANY 1. Formation of LLC. The Initial Member has formed a limited liability company in the State of Nevada named ___________________________________________________ ("LLC"). The operation of the LLC shall be governed by the terms of this Arrangement and the applicable laws of the State of Nevada relating to the formation, operation and taxation of a LLC. To the extent permitted by law, the terms and provisions of this Arrangement shall control if there is a conflict between state law and this Arrangement. The LLC shall be taxed as a sole proprietorship until and unless additional Members are added, after which the LLC will be taxed as a partnership. Any provisions of this Arrangement that may cause the LLC not to be taxed as a sole proprietorship or partnership shall be inoperative. 2. Articles of Organization. The Initial Member has caused to be filed Articles of Organization, (“Articles”) of record with the state, thereby creating the LLC. 3. Business. The initial member has the initial member's legal right to own, use, use as collateral to enter into, and hold property in this state, to own and possess land in this state, and to have a place of residence in this state in the event the initial member decides to relocate from its current location. 2. Initial operating expenses. There shall be an initial operating expense of not less than 1,500 per calendar month. This initial operating expense may be increased to an annual operating expense of not more than 30,000 unless the initial operating expense is reduced by 10% of the gross proceeds of the initial member's sale of capital stock in the LLC, on the same day of the initial formation as this initial operating expense is being paid. 3. Initial gross income. All income derived from the LLC shall be considered to be for the purpose of determining whether an individual member qualifies to hold an individual member limited liability company license, or to be considered a qualified employee under the business corporations act. 4. Initial dissolution — revocation. Upon dissolution of the first LLC, the llc must amend the articles of organization under rule to revoke the original articles of organization. (c) for purposes of paragraph (b) of this section, disregarded entity means: (i) a corporation or other business entity that has been issued a disregarded entity name by a federal, state, or foreign government authority, except for any entity referred to as “the corporation" under regulation r-3-12(b) or r-3-12(c) of the Nevada administrative code; (ii) a partnership, or other partnership of more than one member, except for any entity referred to as a “partnership" and "partner" under regulation r
