Of the purchase and receipt of the real estate properties, which fee shall be in an amount equal to the difference between the sale price to the company or its assigns and the amount found by way of lead; however, if the finder has an agent or independent contractor for the purpose of gathering leads at no additional charge, the finder does not owe the finder’s fee. 3. In no event will the finder owe any fees or compensation in connection with the purchase of the properties and finder’s fee in connection with such purchase. 4. To the extent provided in the terms of this agreement between the parties, the finder, unless otherwise agreed to by acme, inc., will have no role in, and will not receive any compensation in connection with, acme, inc.’s, sale of the property at closing and in no event shall acme, inc. Pay any fees in connection with the sale. 5. The finder of leads, in good faith and without the knowledge of acme, inc., and in furtherance of his obligations under the terms of this agreement, will not submit leads for sale or the purchase of property. 6. When found leads or property has been placed in process, found leads will no longer have direct ties to any real estate transaction on its way to being sold or purchased. 7. Finder will have no participation in any bidding or offer to purchase any real property or service transaction in connection with the sale of or the purchase of any leads or property. 8. Finder shall be provided advance notice, in such form and at such frequency as acme, inc. And company agree will be necessary, before any real estate transaction will result or be completed. 9. The finder will not make a listing for real property with a broker. 10. The finder will cooperate fully and efficiently, but not necessarily in advance of time, in gathering and submitting leads to company for the purpose of placing real property advertisements with real estate brokers for the purpose of providing the company with leads for such ads. 11. The finder will work in concert with company, when necessary, to develop and disseminate an advertising campaign and marketing plan for the purpose of generating leads with which to advertise and market the company's property. 12. When real property has been sold, the buyer will not pay a finder’s fee. 13. Company shall not assign its rights, title, or interest in real property. 14. Company may assign the finder’.
