CONTRACT FOR SALE (of Land) State: _____________________________County: _____________________________Seller: _____________________________ (Name and Address)Buyer: _____________________________ (Name and Address) Seller, named above, agrees to sell and convey to Buyer, named above, all of Seller's interest in certain lands located in the county and state named above, on the following terms and conditions. 1. Lands to be Purchased. Buyer agrees to purchase and Seller agrees to sell all of Seller's rights, title, and interests in the lands described in Exhibit “A” to this Contract (the “Lands”). The Lands shall be deemed to include all of Seller's interest, if any, in agreements affecting the lands. 2. Effective Date. The Effective Date of this transaction shall be _____________________________ (the “Effective Date”). Seller will be entitled to all revenues and responsible for all expenses (subject to the provisions of paragraph 4. below) relating to the Lands accruing or arising prior to the Effective Date. Buyer will be entitled to all revenues and responsible for all expenses (including those provided for in paragraph 4. below) relating to the Lands accruing or arising from and after the Effective Date. 3. Purchase Price. At Closing, Buyer shall pay to Seller, or Seller's designated agent, the Purchase Price of $__________ (in U. S. Funds by certified/cashier check or wire transfer, as directed by Seller), for the Lands, which amount is subject to reduction as provided for in paragraph 5. below. At Closing, as provided for in paragraph 6. below, Buyer and Seller shall execute a Closing Statement stating the Purchase Price, any adjustments to the Purchase Price as provided in paragraph 5., and the resulting total amount to be paid by Buyer to Seller. 4. Representations, Warranties and Indemnity. a.
(name of party, if different from) shall (write or sign in the absence of ) fully indemnify seller in all liens, encumbrances, and claims of seller against buyer, including claims for the payment of taxes and any other similar taxes, charges, fees, assessments, penalties, fines, or charges of any kind, whether any of the provisions of this agreement to make payments are waived, and seller shall pay to buyer, in an amount equal to the difference between the balance in the common fund payable to seller upon the closing (if any) and the total debt or other obligations purchased and sold, the following amounts: percent for all taxes, assessments, fees, and penalties as provided in this article, the other taxes and assessments not waived by seller at closing under this agreement, (including any taxes, assessments, fees, or penalties which are based upon the purchase price and payable only in cash at closing), including any liens, encumbrances, liens, or interests, in favor of the state of Michigan; percent for the tax and assessment which apply to real property located in this state and being held for sale by means of a contract for sale by the seller, if (i) that real property is located in this state pursuant to a written agreement that includes a property description (whether written, oral, or printed or both) sufficient to identify the seller by name or otherwise sufficiently identifies the real property sold to enable a person having lawful authority to sell the real property in this state to recognize the location of the real property sold (other than real property located in this state under the following conditions): (a) real property sold pursuant to a written agreement that includes a property description not more than one line above the space for space giving the name and address of the seller; (b) the tax and assessment levied thereon shall be deemed in favor of the state of Michigan only for the term in which the property in that agreement is held for sale by means of a contract of sale by the seller where the property described therein is located in this state; or (c) real property has been sold at a public auction and such proceeds or other funds have been distributed or disbursed to all persons receiving a portion of the proceeds, whether as a result of a written agreement described in paragraph 1, (a) or (b) above. 5.
