What the Founders Business Agreement Covers

A Founders Business Agreement is a written contract that records ownership, roles, compensation, intellectual property allocation, decision-making rules, and exit terms among startup founders. It establishes equity splits, vesting schedules, voting rights, dispute resolution, and confidentiality provisions to reduce uncertainty at formation and guide governance as the company grows.

Why formalize founder relationships now

Documenting founder terms reduces later disputes, clarifies expectations for equity and contribution, and creates enforceable rights. Properly executed agreements support investor due diligence and align with ESIGN (15 U.S.C. ch. 96) and UETA principles for electronic execution.

Why formalize founder relationships now

Who commonly completes this agreement

The Founders Business Agreement is used by startup founders, early investors, and company counsel when forming a new venture or documenting changes to ownership.

  • Co-founders and founding team members establishing equity splits and responsibilities
  • Early-stage investors reviewing governance and vesting provisions during due diligence
  • Attorneys and corporate secretaries preparing enforceable founding documents for filing and records

Use this agreement at incorporation, before accepting outside capital, or whenever ownership or roles change materially.

Primary signer profiles

Founder / CEO

A founder executing on behalf of the founding team; typically signs to acknowledge equity allocation, vesting, IP assignment, and role descriptions. Responsible for operational adherence to the agreement and communicating obligations to stakeholders.

Corporate Counsel

An attorney reviewing or executing the document on the company’s behalf; ensures enforceability, advises on governing law, securities implications, and necessary corporate approvals prior to execution.

Essential sections to include

A comprehensive Founders Business Agreement addresses ownership mechanics, governance, intellectual property, compensation, vesting, and dispute resolution to make roles and expectations legally clear.

Equity Allocation

Specify percentage ownership, share classes, and any reserved equity pools. Include mechanics for issuing or transferring founder shares and conditions that trigger dilution or adjustments.

Vesting Schedule

Define vesting start, cliff period, acceleration events, and treatment on termination. Clear vesting prevents unjustified equity retention by departing founders.

Roles & Responsibilities

List each founder’s title, primary duties, time commitment, and performance expectations to reduce ambiguity in day-to-day operations and accountability.

IP Assignment

Assign inventions, copyrights, and related IP to the company. Include obligations to disclose prior inventions and execute further assignments as needed.

Decision Rights

Set voting thresholds, board composition, reserved matters, and procedures for deadlock resolution to govern major company actions.

Exit and Transfer

Address buyback rights, right of first refusal, drag-along/tag-along provisions, and consequences of termination, disability, or death.

Common mistakes to avoid

  • Using inconsistent or nickname versions of legal names that cause tax and title mismatches at filing
  • Leaving vague consideration language such as 'reasonable efforts' without measurable obligations or timelines
  • Failing to include an IP assignment clause, risking ownership disputes over inventions and code
  • Skipping formal voting or consent minutes when issuing shares, weakening enforceability of transfers

Consequences of incomplete or incorrect agreements

Equity Disputes: Litigation or forced buyouts
Tax Exposure: Incorrect reporting and penalties
IP Ownership Risk: Unclear assignment may block commercialization
Investor Concerns: Due diligence failures may halt funding
Enforceability: Improper signatures weaken legal standing
Compliance: HIPAA or securities violations where applicable
