What the Fountain Business Services Agreement Is

The Fountain Business Services Agreement is a standard contract that defines the scope, deliverables, payment terms, timing, and legal responsibilities between a service provider and a business client. Typical sections include scope of work, fees and payment schedule, term and termination, confidentiality, intellectual property allocation, warranties, indemnities, and governing law. This template is intended for use in U.S. commercial contexts and is commonly executed electronically consistent with the ESIGN Act (15 U.S.C. ch. 96) and state UETA laws where applicable to ensure enforceability.

Why a Clear Agreement Matters for Service Relationships

A well‑drafted Fountain Business Services Agreement reduces disputes, clarifies responsibilities and payment timing, and preserves remedies for breach. It also helps allocate IP rights and confidentiality obligations so both parties understand post‑engagement use of deliverables.

Practical Tips for Accurate Completion

Confirm Signer Authority
Verify that each signer has authority to bind the party, either by corporate resolution or officer title. Documenting authority prevents later challenges to enforceability and delays when collecting payments.
Standardize Payment Terms
Use consistent invoicing schedules, net terms, and late fee language across contracts. Clear payment mechanics streamline accounting and reduce late payments or misunderstandings.
Preserve Audit Trails
When using electronic signatures, preserve the platform audit trail and final signed PDF. These records substantiate execution, timestamp, and signer identity if a dispute arises.
