4. COVENANTS

Franchisee covenants to indemnify, defend and hold harmless Franchisor from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of or relating to the transaction for which consent is granted, except to the extent caused by Franchisor's gross negligence or willful misconduct.

5. LIMITATION OF LIABILITY

Except for breaches of confidentiality and indemnity obligations, neither party shall be liable to the other for consequential, incidental, punitive or special damages arising out of this Consent, whether in contract, tort or otherwise, even if advised of the possibility of such damages.

6. NOTICES

All notices required or permitted under this Consent shall be in writing and delivered to the addresses set forth below (or such other address as either party may designate by notice in accordance with this Section). Notices shall be deemed given upon receipt when delivered personally, by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid, by certified or registered mail.

7. ASSIGNMENT

This Consent is binding upon and inures to the benefit of the parties and their respective successors and permitted assigns. Except as expressly provided herein, neither party may assign its rights or obligations under this Consent without the prior written consent of the other party.

8. GOVERNING LAW

This Consent shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

9. ENTIRE AGREEMENT

This Consent, together with the Franchise Agreement as amended by the matters consented to herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written.

10. SEVERABILITY

If any provision of this Consent is held to be invalid, illegal or unenforceable under any applicable law, such provision shall be ineffective only to the extent of such invalidity, illegality or unenforceability, without affecting the remaining provisions hereof, which shall remain in full force and effect.

11. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Consent shall be effective unless in writing and signed by both parties. No waiver by any party of any breach shall constitute a waiver of any other breach.

12. COUNTERPARTS

This Consent may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic transmission shall be effective as originals.

13. MISCELLANEOUS PROVISIONS

The headings in this Consent are for convenience only and shall not affect the interpretation of this Consent.
