WHEREAS, the parties desire to document the scope, fees, confidentiality obligations and governing terms applicable to the evaluation engagement.

The Evaluator shall perform an independent assessment of the franchise business, including but not limited to market analysis, site suitability, operations review, financial analysis and a written recommendation. The scope is limited to the matters expressly set forth herein and does not constitute legal or tax advice.

Either party may terminate this engagement for convenience upon days' prior written notice. Evaluator may terminate immediately for nonpayment or breach that is not cured within 10 days after written notice.

Upon termination, Evaluator shall deliver all work-in-progress and Client shall pay pro rata for services performed and documented expenses incurred through the effective termination date.

Confidentiality

Definition: "Confidential Information" means non-public business, financial, operational, client and trade-secret information disclosed by either party to the other in connection with this engagement.

Obligations: Evaluator shall maintain Confidential Information in strict confidence, use it solely to perform this engagement, and not disclose it except to employees or consultants who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential Information does not include information that is publicly known through no fault of the recipient or independently developed without reference to the disclosed materials.

Return or Destruction: Upon written request or termination, each party shall return or destroy Confidential Information and certify such action to the requesting party, excepting one archival copy retained solely for compliance or defense of claims.

Remedies: The parties acknowledge that monetary damages may be inadequate remedy for breach and that injunctive or equitable relief shall be available in addition to any other remedies.

Governing Law; Entire Agreement

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

Entire Agreement: This document, together with any attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, representations and agreements, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
