What a Franchise Consulting Agreement Covers

A Franchise Consulting Agreement is a written contract that defines the relationship between a client (franchisor, franchisee, or prospective franchisee) and a consultant providing franchise-related services. Typical topics include the scope of consulting services, deliverables, fees and payment terms, timelines, confidentiality and non‑disclosure provisions, intellectual property ownership for any materials produced, non‑compete or non‑solicit clauses where permitted, termination rights and remedies, and the governing law that will interpret the agreement. When signed digitally, the agreement can meet U.S. e‑signature requirements under ESIGN (15 U.S.C. ch. 96) and state UETA statutes when the parties meet intent and consent criteria.

Why this Agreement Matters for Franchise Projects

A clear Franchise Consulting Agreement reduces ambiguity about deliverables, protects confidential franchise systems and trademarks, allocates liability and payment obligations, and documents compliance steps for franchise disclosure and state laws. Properly drafted terms also support enforceability and help prevent disputes by setting measurable milestones and remedies.

Why this Agreement Matters for Franchise Projects

Who Typically Uses a Franchise Consulting Agreement

The agreement is used by a range of parties involved in franchise development, operations, or evaluation.

  • Franchise consultants and advisory firms providing territory analysis, operational manuals, or franchise launch services.
  • Franchisors and brand owners engaging external consultants for franchise development, training, or compliance work.
  • Prospective franchisees or investors hiring consultants for due diligence, financial modeling, or operational readiness assessments.

Choose the appropriate template and review it with legal counsel when state rules or franchise disclosure obligations apply.

Typical Signatories and Roles

Consultant

An individual or consulting firm contracted to deliver defined franchise services—signed on behalf of the legal entity that will receive payment and accept liability.

Client

The franchisor, franchisee, or prospective franchisee that engages services; authorized corporate officer or owner must sign to bind the organization.

Step-by-Step: Completing the Agreement

Follow a clear sequence to prepare, review, sign, and store the agreement to reduce errors and speed execution.

  • 01
Prepare Document: Draft scope, fees, IP, confidentiality and termination terms before circulation.
  • 02
Internal Review: Have legal and finance review fee structure, indemnities, and compliance obligations.
  • 03
Signatures: Collect authorized signatures, using electronic signing that meets ESIGN/UETA requirements.
  • 04
Recordkeeping: Store executed PDF and audit trail in a secure repository for retention compliance.

Typical eSubmission Workflow for Execution

Electronic execution follows a standard sequence that supports auditability and secure delivery.

  • Upload Document: Import finalized contract as PDF or DOCX into the eSigning platform.
  • Configure Fields: Place signature, initial, date, and text fields where parties must act.
  • Invite Signers: Add signer emails, set authentication level, and define signing order if required.
  • Complete and Archive: After signing, capture the certificate of completion and save a tamper‑evident copy.

Recommended Platform Settings for Franchise Contracts

Configure your eSignature workflow to match contract risk and internal approval processes.

Field Configuration
Authentication Email plus SMS code for medium assurance
Routing Order Sequential to capture approvals in legal and finance order
Templates Save executed versions as templates for repeat engagements
Audit Trail Enable full IP, timestamp, and action log collection

Technical Considerations for eSigning and Integrations

Select a platform that supports required authentication, document formats, and integrations with business systems.

  • Document Formats: PDF, DOCX, and HTML accepted
  • Integrations: Salesforce, NetSuite, Microsoft 365 supported
  • Authentication Options: Email, SMS, or advanced signer verification

Security and Compliance Elements to Include

Encryption: TLS 1.2/1.3 in transit
At Rest: AES-256 encryption
Certifications: SOC 2 Type II available
HIPAA: BAA required for PHI
21 CFR Part 11: Controls available for FDA needs
ESIGN / UETA: Meets electronic signature law

Key Risks and Potential Consequences

Enforceability: Improper signing may void obligations
Breach Damages: Monetary liability and indemnity claims
FTC Issues: Franchise disclosure noncompliance risk
Confidentiality Loss: Trade secret exposure and claims
Tax Exposure: Incorrect reporting or withholding
Regulatory Penalties: Industry fines or enforcement actions

Common Mistakes to Avoid When Preparing the Agreement

  • Vague service descriptions that leave deliverables open to interpretation and lead to billing disputes or unmet expectations.
  • Failing to identify the correct legal entity names and signers, causing payment delays or enforceability challenges.
  • Omitting confidentiality or IP assignment clauses when materials or operational manuals are produced, risking loss of proprietary rights.
  • Not defining termination rights, cure periods, and payment obligations clearly, which increases litigation risk and collection costs.
